Ballard Receives $4M Strategic Investment From South Africa's Anglo American Platinum Limited
VANCOUVER, March 3, 2013 /PRNewswire/ - Ballard Power Systems (NASDAQ: BLDP)(TSX: BLD) has announced signing of a definitive agreement with Anglo American Platinum Limited (www.angloplatinum.com), under which Anglo American Platinum will invest $4 million in Ballard through its PGM Development Fund, to support continued commercial advancement of the Company's fuel cell products in target market applications.
Anglo American Platinum's interest in the growth of fuel cell market adoption extends beyond the implications for platinum utilization, to the potential transformational impact fuel cells could have on the economy in South Africa.
An example of this latter impact is the joint work currently underway between Ballard and Anglo American Platinum on development of a prototype Home Generator. This product is intended to address the need of many households in remote rural communities for economical electric power. The Home Generator will be built with Ballard fuel cells and run on readily available methanol fuel, utilizing an integrated fuel reformer. Work on the fuel reformer will also benefit Ballard's ElectraGenTM methanol-fuelled systems, which provide power solutions to the telecommunications industry.
Godfrey Oliphant, South Africa's Deputy Minister of Mineral Resources said, "We are very pleased to see Anglo American Platinum's investment in Ballard and their commitment to beneficiation of platinum in South Africa. Fuel cell-based product deployments will be a positive catalyst for growth in global platinum demand. South Africa is the leading producer of platinum and innovations such as the Home Generator project move our country in a positive direction towards participating actively in the application of Platinum Group Metals in new technologies which will create important jobs for our economy."
"This strategic investment from Anglo American Platinum is a tremendous demonstration of Anglo's commitment to fuel cells", said John Sheridan, President and CEO of Ballard Power Systems. "Furthermore, the Home Generator power system that we are jointly developing has the potential for profound impacts in South Africa and elsewhere."
Andrew Hinkly, Executive Head - Commercial for Anglo American Platinum added, "The agreement we have announced is a testament to our confidence in Ballard's commercial and technical abilities as a fuel cell leader as well as our partnership toward completion of the very important Home Generator work. This program will enable our beneficiation strategy in Africa to create jobs in a key growth sector for the economy."
Once Ballard has completed development of a prototype Home Generator system meeting commercial product requirements, the companies will undertake further field trials, potentially leading to the manufacture, distribution and support of a commercial product for the African market.
The investment announced today takes the form of a 5-year non-interest bearing convertible promissory note ("Note") issued by Ballard. The Note may be repaid in the form of Ballard common shares and Anglo American Platinum has the option of repayment on or before the loan maturity date. Any Ballard common shares issued on conversion or repayment would be priced at a 20% discount to the market price of the shares on the closing date of the transaction. Completion of the transaction is subject to regulatory approvals, including that of the Toronto Stock Exchange (TSX), with closing of the transaction expected to occur on March 29.

VANCOUVER, May 14, 2013 /PRNewswire/ - Ballard Power Systems (NASDAQ: BLDP)(TSX: BLD) announced today that it anticipates powering approximately 40 of the 50 zero emission fuel cell buses used in public transit revenue service on European roads in 2014.
By 2014 Ballard will be powering 27 fuel cell buses manufactured by partner Van Hool NV, Europe's fourth largest bus OEM. The Van Hool buses will be operating in such cities as: Oslo, Norway (5 buses); Cologne, Germany (2); San Remo, Italy (5); Flanders, Belgium (5); and Aberdeen, Scotland (10). Aberdeen's 10-bus fleet will be the second largest in the world, next to the 20-bus fleet that has been operating in Whistler, Canada since 2010.
The 40 Ballard-powered buses in Europe will be using the Company's latest-generation 75 & 150 kilowatt FCvelocity(®)-HD6 modules, based on zero emission technology that provides reliable power while emitting only water and heat.
Dr. Christopher Guzy, Ballard's Chief Technology Officer said, "Our fuel cell power module has proven to be highly reliable in a large number of buses in Europe and elsewhere. And, since fuel cells are a zero emission solution, this has made the Ballard module an increasingly popular choice of transit authorities as an alternative power technology."
Over the last several years fuel cell products for the bus market have moved beyond the "lab" and into limited revenue service with a number of transit authorities in Europe and other parts of the world, notably North America. Since 2003, fuel cell hybrid buses in Europe have logged more than 1.9 million miles (3 million kilometers) in revenue service. Ballard has also worked with other OEM's to integrate its fuel cell modules into buses operating in additional European cities, including: London, U.K. (5); Amsterdam, Netherlands (2); and Cologne, Germany (2).
Together with reductions in fuel cell bus costs, a major enabler for relatively large-scale fuel cell bus demonstrations in Europe has been - and continues to be - the European Union (EU) "Joint Technology Initiative" (JTI) funding program. JTI earmarks funding for clean energy public transportation alternatives and, in combination with national, regional and municipal funds, has encouraged deployment of fuel cell-powered buses in numerous European centers.
Ballard is currently working to further commercialize its FCvelocity(TM)-HD power modules - with funding support from Sustainable Development Technology Canada (SDTC) - through improvements in durability and reliability, as well as cost reduction. Expanded fuel cell bus deployments are also expected to generate technology enhancements for vehicles and fueling infrastructure, including improvements in well-to-wheel performance and significant reductions in lifecycle cost and purchase price.

Ballard Announces Definitive Agreements With Azure Hydrogen For China Fuel Cell Bus Program: (i) License for Bus Module Assembly as well as (ii) Supply of Fuel Cell Stacks
SHANGHAI, China, Sept. 26, 2013 /PRNewswire/ - Further to the MOU announced on May 28, Ballard Power Systems (NASDAQ: BLDP)(TSX: BLD) today announced the signing of multi-year definitive agreements to support Azure Hydrogen's (Azure's) zero emission fuel cell bus program for the China market. Azure plans to partner with Chinese bus manufacturers in a phased development program for deployment of zero emission fuel cell buses in China, utilizing Ballard's world leading fuel cell technology.
For the first phase of the program, Ballard has agreed to provide a license, associated equipment and Engineering Services to enable assembly of FCvelocity -HD7 bus power modules by Azure in China. As per the agreements, once this assembly capability is established, Azure will assemble modules with fuel cell stacks to be supplied exclusively by Ballard.
The expected value of the contract to Ballard over the initial 12-months of the first phase will be approximately $11 million, related to the license for module assembly together with associated equipment and services. If Azure's China bus program progresses as planned, the contract will generate value beyond the $11 million license revenue, commensurate with the volume of fuel cell stacks to be ordered.
The signing of the agreements took place at the World Hydrogen Technologies Convention in Shanghai (WHTC2013). Several senior Chinese officials participated in the signing ceremony, including Mr. Shi Dinghuan, Counselor to the State Council and former Secretary General of China's Ministry of Science and Technology, Mr. Ma Jinhua, Secretary of Party Committee of Rugao Economic Development Zone, and Professor Zhang Xinyi, President of Shandong Institute of Technology. The definitive agreements require approval of the Chinese Government.
John Sheridan, Ballard President and CEO said, "We are very pleased to take this step forward in our partnership with Azure, with these agreements representing significant value in the short term and much greater potential in the medium term, in what could become the leading market in the world for zero emission fuel cell buses. As well, this is a key step for Ballard to establish an important licensing revenue stream, expanding the Company's business model for value creation."
Ronald Lee, CEO of Azure Hydrogen added, "We see significant market opportunity for the deployment of clean energy fuel cell bus fleets in China, where they will have a direct positive impact on the severe air quality problem in our major cities."
Azure plans to secure funding from Chinese sources, including both private investors and Governments, to enable the development of fuel cell bus fleets in China for initial public transit service by 2015.
FCvelocity -HD7 will be the next-generation of Ballard's fuel cell power module, designed specifically for integration into bus applications. The product reflects improved durability and reliability as well as a significant reduction in cost. This key product development initiative has been supported by Sustainable Development Technology Canada (SDTC), an arm of the Government of Canada which helps commercialize Canadian clean technologies, readying them for growth and export markets.
