Drill results include high-grade gold mineralization and in places visible gold, not recently seen, down-plunge from current resources. Alabama Graphite Corp. has appointed a special, independent committee, led by and comprising Dr. Gareth P. Hatch, CEng, FIMMM, FIET -- an independent director of the company -- to carefully review and consider an unsolicited, non-binding proposal that was received from a United States-based, arm's-length, public, microcap, prerevenue, junior mining development company relating to a potential offer for all of the issued and outstanding common shares in the capital of the company. Pursuant to the terms of a confidentiality agreement and the Interested Party's separate request, the Company is withholding the name of the Interested Party. According to publicly available records, the Interested Party has less than USD$7 million in unrestricted cash and a market capitalization of approximately USD$35 million.

The Interested Party's indicative offer was conditional and non-binding. Pursuant to this offer, it was proposed that the shareholders of Alabama Graphite would receive no cash and would receive, in exchange for each common share of the Company (the "AGC Shares"), one-tenth (0.10) of one (1) common share of the Interested Party. In other words, under the terms of the proposal, ten (10) AGC Shares would be exchanged for one (1) common share of the Interested Party. Highlights:

San Dimas Experiences Ramp-Up Delay: While the San Dimas mine has experienced a recent improvement in operations, it has not seen the full step increase in productivity that underpinned the 2017 restart plan. Further, the Company has had to restrict capital spending due to current liquidity constraints and has reduced both development and exploration expenditures. As a result, the Company has lowered its 2017 San Dimas production guidance to between 75,000 and 85,000 gold equivalent ounces1 at total cash costs2 of between $800 and $900 per gold equivalent ounce with all-in sustaining costs3 ("AISC") increasing to $1,050 to $1,150 per gold ounce.
Black Fox Sale Expected to Close in Early-October: Primero continues to work with McEwen Mining to facilitate the closing of the Black Fox Complex transaction, which is expected to be completed in the first week of October. Black Fox is expected to achieve full-year 2017 production guidance of between 50,000 and 60,000 ounces of gold at AISC of $1,150 to $1,250 per ounce. The Company expects that at the time of closing Black Fox will have delivered approximately 50,000 gold ounces attributable to Primero in 2017.
Production Guidance Update: Primero's 2017 production guidance has been reduced to reflect a more gradual restart of the San Dimas operations and the pending sale of the Black Fox Complex. Primero expects consolidated 2017 production of between 125,000 and 135,000 gold equivalent ounces at total cash costs of between $800 and $900 per gold equivalent ounce with AISC of between $1,200 and $1,300 per gold ounce.
Corporate Update and Current Liquidity Position: Primero continues to operate in a cash conservation mode as management works on possible alternatives to refinance or repay its upcoming debt obligation. The Company continues with negotiations on the potential sale of San Dimas or potential renegotiation of its silver stream. Primero had approximately $12 million in cash at August 31st and has fully-drawn its $75 million revolving credit facility ("RCF"). The Company expects to use the proceeds from Black Fox transaction to reduce its total debt position.

(“AGC” or the “Company”) (TSX-V:CSPG) (OTCQB:CSPGF) (FRANKFURT:1AG) is pleased to announce positive evaluation results for its downstream high-purity, natural flake Purified Micronized Graphite (“PMG”) product — marketed under the tradename ULTRA-PMG™ — from Dallas, Texas-based RSR Technologies Inc. (“RSRT”). RSRT is a leading research and development company focused on advancing lead-acid battery technologies. AGC’s ULTRA-PMG™ was used as a leady-oxide additive for lead-acid batteries and was tested in 48 battery cells built by RSRT.

The most critical evaluation metric in RSRT’s analysis was battery-cell testing, which included micro-hybrid test (“MHT”), dynamic charge acceptance (“DCA”), Capacity (C20 and C), and breakdown analysis. When AGC’s ULTRA-PMG™ was added to RSRT’s control, there was an improvement in capacity of 7%, from 87 to 93 mAh/mg. MHT improved 63% (from 8,000 to 13,000 cycles), and DCA increased more than 194% (from 0.17 to 0.50 A/Ah) with the addition of ULTRA-PMG™. When ULTRA-PMG™ was added to RSRT’s SUPERSOFT-HYCYCLE™ formulation — RSRT’s top-of-the-line leady-oxide active material product — there was negligible improvement in capacity; however, the already significant MHT test results improved 5%, from 42,000 cycles to 44,000 cycles. DCA increased 64% (from 0.55 to 0.90 A/Ah). ULTRA-PMG™ prolonged cycle life approximately 4.5 times longer when compared to conventional leady oxide. RSRT’s MHT cycling test typically takes 45 days to complete; however, due to ULTRA-PMG’s significant cycle life increase, testing data took more than 200 days to acquire.

Dr. Matthew Raiford, RSRT’s Process Engineer, and supervisor of the evaluation, commented, “Alabama Graphite’s ULTRA-PMG™ product outperformed all other standard commercially available carbon products we have tested, including carbon black. There are barely any impurities, and of the impurities none of them are even a remote concern for gassing in lead-acid batteries. This was the purest graphite product we have ever studied and analyzed — by a significant margin.”

Lead-acid battery technology has existed for more than 150 years, is the oldest rechargeable battery electrochemistry technology, and still dominates the global energy storage market. There are more than 254 million cars and trucks in the United States alone, each containing at least one lead-acid battery. The industry continues to improve lead-acid battery technology. RSRT is working to enhance lead-acid battery performance by adding high-purity ULTRA-PMG™ to the lead paste precursor to increase lead-acid battery performance.

AGC President and Chief Executive Officer, Donald Baxter, stated “We are very pleased with RSRT’s evaluation of our ULTRA-PMG™ graphite product. ULTRA-PMG™ is a byproduct of AGC’s Coated Spherical Purified Graphite (“CSPG”) production. The lead-acid battery market is an important, well-established multi-billion-dollar industry in the United States, and almost all of these batteries are manufactured in the USA. The lead-acid market represents an area of significant potential demand for AGC’s premium graphite products, as the industry now adds carbon into batteries’ negative active materials — representing approximately 1% by weight or 11% by volume of the battery.

“AGC is actively engaging with several potential end users for our expected future battery-ready graphite products and intends to supply the American lead-acid battery industry with our U.S.-sourced-and-manufactured PMG graphite product,” said Mr. Baxter. “Although the lithium-ion battery market has the highest-growth rate, with significant forecasted demand for the foreseeable future, the lead-acid battery industry is currently the largest battery market, representing approximately a 90% share of the USD$65-billion battery market in 2016 (source: Avicenne Energy; 2017). Recent innovations in the lead-acid battery industry underscore the enduring potential of lead-based batteries to meet future energy market needs. We are pleased that our ULTRA-PMG™ has demonstrated the potential to assist with continuing the advancement and optimization of this critical battery technology."

AGC conveyed samples of various particle sizes of its ULTRA-PMG™ to RSRT for characterization and evaluation. The first series of analytic testing determined elemental concentrations of impurities using inductively coupled plasma optical emission spectrometry (“ICP-OES”), which confirmed the ultra-high purity of AGC’s graphite. The AGC ULTRA-PMG™ samples were introduced during the paste-making process, and studies were conducted at each phase. The battery testing and performance summaries for the battery cells, including MHT, DCA and Capacity, can be seen in Table 1 below. RSRT’s positive test results demonstrate when AGC’s ULTRA-PMG™ is added to either a typical standard lead paste (control) or to RSRT’s proprietary SUPER-SOFT HYCYCLE™ formulation, all performance metrics improve.

Alabama Graphite Corp. has appointed a special, independent committee, led by and comprising Dr. Gareth P. Hatch, CEng, FIMMM, FIET -- an independent director of the company -- to carefully review and consider an unsolicited, non-binding proposal that was received from a United States-based, arm's-length, public, microcap, prerevenue, junior mining development company relating to a potential offer for all of the issued and outstanding common shares in the capital of the company. Pursuant to the terms of a confidentiality agreement and the Interested Party's separate request, the Company is withholding the name of the Interested Party. According to publicly available records, the Interested Party has less than USD$7 million in unrestricted cash and a market capitalization of approximately USD$35 million.

The Interested Party's indicative offer was conditional and non-binding. Pursuant to this offer, it was proposed that the shareholders of Alabama Graphite would receive no cash and would receive, in exchange for each common share of the Company (the "AGC Shares"), one-tenth (0.10) of one (1) common share of the Interested Party. In other words, under the terms of the proposal, ten (10) AGC Shares would be exchanged for one (1) common share of the Interested Party. If implemented, the shareholders of Alabama Graphite would become minority shareholders of the Interested Party.

Jaguar Mining Inc. has released further positive results from three deep drill holes (1,348 metres) as part of its growth exploration program targeting the down-plunge continuity of the principal mineralized banded iron formation orebodies at Pilar gold mine in Minas Gerais, Brazil (see Aug. 16, 2017, press release). Drill results include high-grade gold mineralization and in places visible gold, not recently seen, down-plunge from current resources. Importantly, these results validate the projected mineralization plunge and grade of the targeted mineralization well beyond current mine production infrastructure. At the Turmalina Gold Mine ("Turmalina"), three diamond drill rigs are currently focused on growth exploration drilling, targeting projected down-plunge extensions, below current mining levels and infrastructure, on both Orebody A and Orebody C. To date, a total of six holes, totaling over 2,795 m, have been completed with initial results expected to be reported during Q4 2017.

WESTHAVEN COMMENCES GROUND GEOPHYSICS ON ITS SKOONKA CREEK GOLD PROPERTY

Westhaven Ventures Inc. has initiated a ground geophysical survey at its Skoonka Creek gold property, located within the prospective Spences Bridge gold belt (SBGB), approximately 15 kilometres north of Lytton, B.C.

The newly acquired 2,783-hectare Skoonka Creek gold property hosts epithermal-vein exploration targets within prospective stratigraphy in the northern SBGB, a 110-kilometre northwest-trending belt of mafic to felsic volcanic rocks of the Cretaceous Spences Bridge Group.

The discovery of coarse placer gold at the confluence of the Nicoamen River and Thompson River in 1857 sparked a gold rush that a year later drew an estimated 20,000 prospectors. This initiated the Fraser River gold rush. In 2005, Strongbow Exploration drilled 20.2 grams per tonne gold over 12.8 metres, confirming the presence of high-grade epithermal gold mineralization at the Skoonka Creek property and the SBGB.

Subsequent to 2007, limited drilling and other exploration program results indicate that mineralization encountered to date represents the upper portions of a shallowly eroded low-sulphidation epithermal system, with good potential to discover more consistent and higher gold grades at greater depths.

Westhaven has engaged Scott Geophysics Ltd. of Vancouver, B.C., to survey approximately 25 line kilometres of ground magnetics. The purpose of this program is to increase the resolution of the survey to 50-metre line spacing to better define structural trend(s) within the newly identified JJ-West geochemical anomaly target area.

Shaun Pollard, director and chief financial officer of Westhaven, stated: "It's management's belief that the newly identified JJ-West target is possibly the westward continuation of the high-grade JJ vein zone. If this proves true, the approximate strike length between the JJ vein zone and the JJ-West target is well over 1,500 metres. We are eagerly awaiting the results of the ground geophysics program with the view of initiating a drill program shortly thereafter."

Soil and rock sampling and prospecting have uncovered anomalous pathfinder geochemistry that suggests the possible continuation of the JJ vein zone to the southwest in a down-dropped fault block that has preserved the upper portions of a system anomalous in mercury, antimony and arsenic. These high-level pathfinders are coincident and on trend with an airborne magnetic low of similar strike as the JJ vein zone to the northeast. Quartz float and outcrop found during recent prospecting and soil sampling at JJ-West further enhance the strength of this target.

WESTHAVEN COMMENCES EXPLORATION ON ITS SHOVELNOSE GOLD PROPERTY

Westhaven Ventures Inc. has commenced exploration at its Shovelnose gold property, located within the prospective Spences Bridge gold belt (SBGB), approximately 30 kilometres south of Merritt, B.C.

Geological mapping, prospecting and soil sampling have begun to follow up previously defined gold in soil anomalies lying east and southeast of a cluster of known showings that includes the previously drilled Tower and Alpine zones.

Magnetic survey

A 50-line-kilometre ground magnetic survey was completed in June to help refine known targets at the Tower and Alpines zones and to help define additional targets to the east. This survey has confirmed the structural trend of the Tower zone and has identified additional structures to the east of the Tower and Alpine zones. Further magnetic interpretation is continuing.

Clay mineralogical study

A clay mineralogical study utilizing short-wave infrared spectroscopy (SWIR) was completed this July to provide vectors toward mineralized hydrothermal feeder zones. The Tower zone was confirmed as such a target. This study has also identified the potential for additional feeder zones in the vicinity of the Line 6 showing to the west and the Alpine zone to the east. The data from the recent magnetic survey and clay mineralogy studies will be used to assist in prioritizing targets for a drilling program planned for later this year.

The SWIR work was carried out with a TerraSpec spectrometer by Kim Heberlein (PGeo) of Maple Ridge, B.C. This is a non-destructive and efficient method of analyzing for a number of key hydrous alteration minerals, in particular those which are not readily identifiable by the human eye.

Clays, carbonates, chlorites, certain sulphates, silicates and many other minerals can be quickly identified and alteration zoning outlined. By running analysis on select samples, the focus of exploration can be rapidly fine-tuned.

Westhaven Ventures Inc. has commenced exploration its Skoonka Creek gold property. The newly acquired 2,800-hectare Skoonka Creek gold property is located within the prospective Spences Bridge gold belt, approximately 15 kilometres north of Lytton, B.C.

Subsequent to 2007, limited drilling and exploration indicate that mineralization encountered to date represents the upper portions of a shallowly eroded low-sulphidation epithermal system with good potential to discover more consistent and higher gold grades at greater depths.

Preliminary fieldwork focused on the JJ-West prospect, the possible westward continuation of the high-grade JJ zone. Additional soil sampling has extended this grid by 500 metres west to test for the continuation of the previously defined area of anomalous soil geochemistry. The newly collected soil samples will be processed for multielement analysis.

Geological mapping and prospecting carried out over the new soil grid have uncovered two areas of quartz veining. The more significant of the two is roughly on trend with the JJ zone to the east. Rock samples have been collected for assay from the two areas of quartz veining.

Shaun Pollard, chief financial officer, stated: "We are excited to begin the 2017 field season at the Skoonka Creek gold property in preparation for a drill program. This project has previously produced world-class drill intersections and has the potential to host a major gold discovery."
