Huntsman und Apollo lösen Übernahmeabkommen auf

Salt Lake City (aktiencheck.de AG) - Der US-Chemiekonzern Huntsman Corp. (Profil) gab am Sonntag bekannt, dass er das Abkommen mit der Apollo Management LP zur Übernahme des Unternehmens durch die Private Equity-Gesellschaft aufgelöst hat.

Huntsman hatte im Juli 2007 der 6,5 Mrd. Dollar schweren Übernahme durch die Hexion Specialty Chemicals Inc., einer Tochter der Private Equity-Gesellschaft Apollo Management, zugestimmt. Die Transaktion war jedoch durch die Kreditkrise ins Straucheln geraten. Zuletzt hatte Apollo versucht, sich aus der Transaktion zurückzuziehen.

Den Angaben zufolge wurden nun auch die Rechtsstreitigkeiten zwischen den Parteien beigelegt. Im Rahmen der Einigung erhält Huntsman Zahlungen in Höhe von insgesamt 1 Mrd. Dollar (einschließlich Break-Up-Fee von 325 Mio. Dollar). Davon erhält der Chemiekonzern mindestens 500 Mio. Dollar am bzw. vor dem 31. Dezember 2008, wobei die restlichen Zahlungen bis zum 31. März 2009 erfolgen müssen.

Die Aktie von Huntsman schloss am Freitag an der NYSE bei 5,85 Dollar. (15.12.2008/ac/n/a)

Palm shares rise on additional investment
Analysts cheer move, though some voice concerns about dilution

SAN FRANCISCO Shares of Palm Inc. got a shot in the arm Monday as the company secured additional capital investment from a private-equity firm.

Sunnyvale, Calif.-based Palm 3.05, +0.56, +22.5%) saw its stock gain 22.5% to close at $3.05 after the struggling handset maker announced that it will receive an additional $100 million equity investment from Elevation Partners.

Under terms of the deal, Elevation will acquire newly issued Series C preferred stock convertible into Palm common stock at a price of $3.25 a share and also will get warrants to acquire 7 million Palm shares at the same price.
Before March 31, Palm could cause Elevation to sell up to $49 million of this new investment to other investors at the same or better terms. The transaction is expected to close by Jan. 31.
In a statement, Palm Chief Executive Ed Colligan said the additional capital "will enable us to put added momentum behind the new-product introductions scheduled for 2009 and will provide us with enhanced stability in unsettled economic times."

Last week, Palm posted lower-than-expected financial results, and some analysts raised questions about the company's ability to bounce back.
Tavis McCourt of Morgan Keegan told clients Monday that the investment is "clearly positive for common shareholders considering it should take any liquidity concerns off the table for Palm in 2009."
But Peter Misek of Canaccord Adams said in a report that the new investment could be extremely dilutive to existing shareholders. He also pointed out that the company had recently expressed confidence in its cash base.
"On the conference call last week, the company noted its belief that the remaining cash position is sufficient to navigate through a turbulent economic period in advance of launching new products and its new OS platform," Misek wrote. "We believe the proposed financing may foreshadow a material cash burn over the next few quarters." Benjamin Pimentel is a MarketWatch reporter based in San Francisco.

LAS VEGAS (Reuters) - Palm Inc (NasdaqGS:PALM - News) overhauled its mobile operating system and introduced a new touch-screen phone, sending its shares soaring 35 percent as investors hoped the moves can help win back customers from rivals such as Apple Inc (NasdaqGS:AAPL - News).

The new products, which impressed analysts at the Consumer Electronics Show in Las Vegas on Thursday, were developed under the watch of former Apple executive Jon Rubenstein, who helped create the iPod and who was brought to Palm by its private equity shareholder, Elevation Partners.

Palm has staked its future on the Palm Web OS operating system and the new phone, which it has been developing since 2007. The pioneer of touch-screen phones like the Treo had been steadily losing market share to Apple's iPhone, Research in Motion Ltd's (Toronto:RIM.TO - News) BlackBerry and other devices.

"This is sort of a rebirth of our company," Brodie Keast, Palm's senior vice president of marketing, told Reuters. "It means a lot to us."

Palm's new Pre smartphone has GPS location technology, Wi-Fi wireless connectivity and a slide out full keyboard. It will be available exclusively on the network of Sprint Nextel Corp (NYSE:S - News) in the first half of 2009. Palm would not disclose a price.

In a demonstration at CES, Palm executives showed how the Pre phone easily consolidates multiple communication services such as instant messaging, text messaging and social networks such as Facebook, and multiple email systems.

"Everything about it looks competitive. The device's specifications tick all the right boxes. What we've seen of the software and user experience in demonstrations appears innovative and unique," said CCS Insight analyst John Jackson.

Palm shares closed up $1.15, or 34.85 percent, at $4.45 on the long-awaited announcements, and JPMorgan analyst Paul Coster speculated that the new operating system may make Palm an attractive takeover target. Palm itself got into the smartphone business by buying rival Handspring Inc.

"I liked the operating system a lot," said Coster. "If they don't execute, somebody's going to buy them."

He added that a buyer would save the years of work it would have to spend developing such a system, saying, "Anybody (in the cell phone market) who's not developing an operating system has to be interested."

In June 2007, Elevation Partners bought a 25 percent stake in Palm for $325 million and brought in Rubenstein. Since then, investors had been waiting for Palm to put the finishing touches on the new mobile platform.

Palm came in third behind RIM and Apple in the North American smartphone market in the third quarter, according to Gartner analyst Hugues de la Vergne.

"Palm bet the company on this so they had to come through and they did," said JPMorgan analyst Ehud Gelblum.

He added, however, that the exclusivity deal with Sprint could limit sales. The No. 3 U.S. mobile phone carrier has been struggling to stem subscriber losses, trailing behind Verizon Wireless Inc (NYSE:VZ - News; LSE:VOD.L - News) and AT&T Inc (NYSE:T - News).

"The only drawback is how long is it going to be on sale only with Sprint? It's a smaller addressable market than they otherwise would have had," said Gelblum.

Sprint Chief Executive Dan Hesse told Reuters after the launch that the Pre is "very important for Sprint" but he declined to give sales estimates or more details.

Sprint shares rose over 8 percent, helped by the Palm contract and Hesse's comments that the economic downturn had a limited impact on the company in the fourth quarter.

At CES, Palm -- which also sells the Centro, a relatively low-end smartphone -- also showed the Touchstone, a small round cosmetics jar-sized inductive charging dock that powers the Pre phone simply by placing the handheld on the dock.

Palm shares rise on additional investment
Analysts cheer move, though some voice concerns about dilution

SAN FRANCISCO Shares of Palm Inc. got a shot in the arm Monday as the company secured additional capital investment from a private-equity firm.

Sunnyvale, Calif.-based Palm 3.05, +0.56, +22.5%) saw its stock gain 22.5% to close at $3.05 after the struggling handset maker announced that it will receive an additional $100 million equity investment from Elevation Partners.

Under terms of the deal, Elevation will acquire newly issued Series C preferred stock convertible into Palm common stock at a price of $3.25 a share and also will get warrants to acquire 7 million Palm shares at the same price.
Before March 31, Palm could cause Elevation to sell up to $49 million of this new investment to other investors at the same or better terms. The transaction is expected to close by Jan. 31.
In a statement, Palm Chief Executive Ed Colligan said the additional capital "will enable us to put added momentum behind the new-product introductions scheduled for 2009 and will provide us with enhanced stability in unsettled economic times."

Last week, Palm posted lower-than-expected financial results, and some analysts raised questions about the company's ability to bounce back.
Tavis McCourt of Morgan Keegan told clients Monday that the investment is "clearly positive for common shareholders considering it should take any liquidity concerns off the table for Palm in 2009."
But Peter Misek of Canaccord Adams said in a report that the new investment could be extremely dilutive to existing shareholders. He also pointed out that the company had recently expressed confidence in its cash base.
"On the conference call last week, the company noted its belief that the remaining cash position is sufficient to navigate through a turbulent economic period in advance of launching new products and its new OS platform," Misek wrote. "We believe the proposed financing may foreshadow a material cash burn over the next few quarters." Benjamin Pimentel is a MarketWatch reporter based in San Francisco.

Palm's new phone and operating system ignite shares

LAS VEGAS (Reuters) - Palm Inc (NasdaqGS:PALM - News) overhauled its mobile operating system and introduced a new touch-screen phone, sending its shares soaring 35 percent as investors hoped the moves can help win back customers from rivals such as Apple Inc (NasdaqGS:AAPL - News).

The new products, which impressed analysts at the Consumer Electronics Show in Las Vegas on Thursday, were developed under the watch of former Apple executive Jon Rubenstein, who helped create the iPod and who was brought to Palm by its private equity shareholder, Elevation Partners.

Palm has staked its future on the Palm Web OS operating system and the new phone, which it has been developing since 2007. The pioneer of touch-screen phones like the Treo had been steadily losing market share to Apple's iPhone, Research in Motion Ltd's (Toronto:RIM.TO - News) BlackBerry and other devices.

"This is sort of a rebirth of our company," Brodie Keast, Palm's senior vice president of marketing, told Reuters. "It means a lot to us."

Palm's new Pre smartphone has GPS location technology, Wi-Fi wireless connectivity and a slide out full keyboard. It will be available exclusively on the network of Sprint Nextel Corp (NYSE:S - News) in the first half of 2009. Palm would not disclose a price.

In a demonstration at CES, Palm executives showed how the Pre phone easily consolidates multiple communication services such as instant messaging, text messaging and social networks such as Facebook, and multiple email systems.

"Everything about it looks competitive. The device's specifications tick all the right boxes. What we've seen of the software and user experience in demonstrations appears innovative and unique," said CCS Insight analyst John Jackson.

Palm shares closed up $1.15, or 34.85 percent, at $4.45 on the long-awaited announcements, and JPMorgan analyst Paul Coster speculated that the new operating system may make Palm an attractive takeover target. Palm itself got into the smartphone business by buying rival Handspring Inc.

"I liked the operating system a lot," said Coster. "If they don't execute, somebody's going to buy them."

He added that a buyer would save the years of work it would have to spend developing such a system, saying, "Anybody (in the cell phone market) who's not developing an operating system has to be interested."

In June 2007, Elevation Partners bought a 25 percent stake in Palm for $325 million and brought in Rubenstein. Since then, investors had been waiting for Palm to put the finishing touches on the new mobile platform.

Palm came in third behind RIM and Apple in the North American smartphone market in the third quarter, according to Gartner analyst Hugues de la Vergne.

"Palm bet the company on this so they had to come through and they did," said JPMorgan analyst Ehud Gelblum.

He added, however, that the exclusivity deal with Sprint could limit sales. The No. 3 U.S. mobile phone carrier has been struggling to stem subscriber losses, trailing behind Verizon Wireless Inc (NYSE:VZ - News; LSE:VOD.L - News) and AT&T Inc (NYSE:T - News).

"The only drawback is how long is it going to be on sale only with Sprint? It's a smaller addressable market than they otherwise would have had," said Gelblum.

Sprint Chief Executive Dan Hesse told Reuters after the launch that the Pre is "very important for Sprint" but he declined to give sales estimates or more details.

Sprint shares rose over 8 percent, helped by the Palm contract and Hesse's comments that the economic downturn had a limited impact on the company in the fourth quarter.

At CES, Palm -- which also sells the Centro, a relatively low-end smartphone -- also showed the Touchstone, a small round cosmetics jar-sized inductive charging dock that powers the Pre phone simply by placing the handheld on the dock.

Hansen, gegen den Trend wieder/weiter stabil nach oben.

seit den beiden Zwischentiefs im August und Oktober 2008 ca. 80% hoch. Mit dem nachhaltigen Bruch der 35 Dollarmarke dürfte Hansen weiter Richtung 40 ++ laufen

Wo wir gerade bei der Softdrinkklitsche Hansen Natural waren

Bei Jones Soda tut sich was.... Als Zock interessant. Hoch auf 0,46 Dollar + 24,32%
Seit dem 52W Low bei 0,26 Dollar +76.92% hoch.

Mit etwas Geduld/Glück etc. könnte das eine spektakuläre Wiederbelebungsstory werden. Exitus allerdings auch.

Seit einer Woche steigende Umsätze und steigender Kurs.

Lastly, I'll throw Jones Soda's (JSDA) name into the blogosphere. JSDA is a maker of relatively expensive, high-quality sodas. JSDA has had some successes getting their sodas into more stores, but the company isn't profitable and trades at $.38 for a reason. However, JSDA might work out as a very speculative bet. Jones Soda drinkers are often very fond of the brand, and thanks to wide distribution in Starbucks in the past, it has become somewhat of a household name. A recovery is clearly priced in as being unlikely, but if management can turn the company around, take it private, or sell out, there could be huge upside.

Lastly, I'll throw Jones Soda's (JSDA) name into the blogosphere. JSDA is a maker of relatively expensive, high-quality sodas. JSDA has had some successes getting their sodas into more stores, but the company isn't profitable and trades at $.38 for a reason. However, JSDA might work out as a very speculative bet. Jones Soda drinkers are often very fond of the brand, and thanks to wide distribution in Starbucks in the past, it has become somewhat of a household name. A recovery is clearly priced in as being unlikely, but if management can turn the company around, take it private, or sell out, there could be huge upside.

Der Hersteller von PDAs und Smartphones stehe nicht mehr am Rande einer Insolvenz, sondern möglicherweise vor dem Eintritt in einen starken Produktzyklus, schrieb Analystin Simona Jankowski in einer am Dienstag vorgelegten Studie. Zudem seien 100 Millionen US-Dollar an frischem Kapital in das Unternehmen geflossen. Auch verbessere sich die Lage an den Fremdkapitalmärkten.

Palm's new phone and operating system ignite shares

LAS VEGAS (Reuters) - Palm Inc (NasdaqGS:PALM - News) overhauled its mobile operating system and introduced a new touch-screen phone, sending its shares soaring 35 percent as investors hoped the moves can help win back customers from rivals such as Apple Inc (NasdaqGS:AAPL - News).

The new products, which impressed analysts at the Consumer Electronics Show in Las Vegas on Thursday, were developed under the watch of former Apple executive Jon Rubenstein, who helped create the iPod and who was brought to Palm by its private equity shareholder, Elevation Partners.

Palm has staked its future on the Palm Web OS operating system and the new phone, which it has been developing since 2007. The pioneer of touch-screen phones like the Treo had been steadily losing market share to Apple's iPhone, Research in Motion Ltd's (Toronto:RIM.TO - News) BlackBerry and other devices.

"This is sort of a rebirth of our company," Brodie Keast, Palm's senior vice president of marketing, told Reuters. "It means a lot to us."

Palm's new Pre smartphone has GPS location technology, Wi-Fi wireless connectivity and a slide out full keyboard. It will be available exclusively on the network of Sprint Nextel Corp (NYSE:S - News) in the first half of 2009. Palm would not disclose a price.

In a demonstration at CES, Palm executives showed how the Pre phone easily consolidates multiple communication services such as instant messaging, text messaging and social networks such as Facebook, and multiple email systems.

"Everything about it looks competitive. The device's specifications tick all the right boxes. What we've seen of the software and user experience in demonstrations appears innovative and unique," said CCS Insight analyst John Jackson.

Palm shares closed up $1.15, or 34.85 percent, at $4.45 on the long-awaited announcements, and JPMorgan analyst Paul Coster speculated that the new operating system may make Palm an attractive takeover target. Palm itself got into the smartphone business by buying rival Handspring Inc.

"I liked the operating system a lot," said Coster. "If they don't execute, somebody's going to buy them."

He added that a buyer would save the years of work it would have to spend developing such a system, saying, "Anybody (in the cell phone market) who's not developing an operating system has to be interested."

In June 2007, Elevation Partners bought a 25 percent stake in Palm for $325 million and brought in Rubenstein. Since then, investors had been waiting for Palm to put the finishing touches on the new mobile platform.

Palm came in third behind RIM and Apple in the North American smartphone market in the third quarter, according to Gartner analyst Hugues de la Vergne.

"Palm bet the company on this so they had to come through and they did," said JPMorgan analyst Ehud Gelblum.

He added, however, that the exclusivity deal with Sprint could limit sales. The No. 3 U.S. mobile phone carrier has been struggling to stem subscriber losses, trailing behind Verizon Wireless Inc (NYSE:VZ - News; LSE:VOD.L - News) and AT&T Inc (NYSE:T - News).

"The only drawback is how long is it going to be on sale only with Sprint? It's a smaller addressable market than they otherwise would have had," said Gelblum.

Sprint Chief Executive Dan Hesse told Reuters after the launch that the Pre is "very important for Sprint" but he declined to give sales estimates or more details.

Sprint shares rose over 8 percent, helped by the Palm contract and Hesse's comments that the economic downturn had a limited impact on the company in the fourth quarter.

At CES, Palm -- which also sells the Centro, a relatively low-end smartphone -- also showed the Touchstone, a small round cosmetics jar-sized inductive charging dock that powers the Pre phone simply by placing the handheld on the dock.

Palm shares rise on additional investment
Analysts cheer move, though some voice concerns about dilution

SAN FRANCISCO Shares of Palm Inc. got a shot in the arm Monday as the company secured additional capital investment from a private-equity firm.

Sunnyvale, Calif.-based Palm 3.05, +0.56, +22.5%) saw its stock gain 22.5% to close at $3.05 after the struggling handset maker announced that it will receive an additional $100 million equity investment from Elevation Partners.

Under terms of the deal, Elevation will acquire newly issued Series C preferred stock convertible into Palm common stock at a price of $3.25 a share and also will get warrants to acquire 7 million Palm shares at the same price.
Before March 31, Palm could cause Elevation to sell up to $49 million of this new investment to other investors at the same or better terms. The transaction is expected to close by Jan. 31.
In a statement, Palm Chief Executive Ed Colligan said the additional capital "will enable us to put added momentum behind the new-product introductions scheduled for 2009 and will provide us with enhanced stability in unsettled economic times."

Last week, Palm posted lower-than-expected financial results, and some analysts raised questions about the company's ability to bounce back.
Tavis McCourt of Morgan Keegan told clients Monday that the investment is "clearly positive for common shareholders considering it should take any liquidity concerns off the table for Palm in 2009."
But Peter Misek of Canaccord Adams said in a report that the new investment could be extremely dilutive to existing shareholders. He also pointed out that the company had recently expressed confidence in its cash base.
"On the conference call last week, the company noted its belief that the remaining cash position is sufficient to navigate through a turbulent economic period in advance of launching new products and its new OS platform," Misek wrote. "We believe the proposed financing may foreshadow a material cash burn over the next few quarters." Benjamin Pimentel is a MarketWatch reporter based in San Francisco.

Shares rose 70 cents, or 46.4 percent, to $2.21 during midday trading. The stock has traded between 80 cents and $10.67 during the past 52 weeks.

On Friday, trade magazine Women's Wear Daily reported the company is close to selling its DC Shoes brand to apparel maker VF Corp. and said the company could be in talks with Nike Inc. to sell the company outright.

"While neither VF nor Quiksilver has commented, the deal would make strategic sense in our view," said Lazard Capital Markets analyst Todd Slater. "Given that the health and attractiveness of Quiksilver's brands is overshadowed by ongoing financial and liquidity troubles, we believe a good solution would be a friendly transaction with stronger strategic players."

In a note to investors Monday, Slater reiterated his "Buy" rating on the stock, and said a deal was likely due to Quiksilver's "liquidity challenges."

Quiksilver said in November it was reviewing private-equity investment capital and other strategic alternatives with Morgan Stanley.

In December, the company said it ended fiscal 2008 with $1.07 billion in debt. At the time it said it was in discussions with European and Asia/Pacific banks to refinance its short-term debt and negotiating a term loan to supplement its credit availability in the U.S.

Earlier this month, Moody's downgraded Quiksilver deeper into "junk-bond" territory, saying the chain's reliance on short-term debt makes it especially vulnerable as consumers cut spending.

Was kommt unter anderem in die ehemalige Fläche von Karstadt Eppendorf ... ein fetter dicker Plörrkaffeeshop von Starbucks, direkt vorne an, mit optimaler Eck-/Strassenlage

Der Gag ist, gegenüber, also auf der anderen Strassenseite, sitzt bereits die örtliche Konkurrenz Balzac mit gleich ZWEI Shops. Dazu sind noch gleich vier-fünf kleinere Kaffeshops und Bäckereien in unmittelbarer Nähe.

Sagt mal, sind die alle nur noch bekloppt.. Soviel shice Kaffee kann man gar nicht trinken


Obwohl der Chart von Starbucks Plörkaffee sieht fast was nach einem fetten rebound aus. Mittelfristig interessant für eine Depotbeigabe long only.

Die weltgrößte Kaffeehauskette Starbucks gerät immer tiefer in die Krise und streicht nochmals fast 7.000 Stellen. Weltweit werden weitere rund 300 schlecht laufende Läden geschlossen, 100 davon außerhalb der USA.


Der Gewinn brach im vergangenen Quartal wegen des Konzernumbaus und der Wirtschaftskrise um fast 70 Prozent auf 64 Mio Dollar (48 Mio Euro) ein. Der Umsatz fiel um sechs Prozent auf 2,6 Mrd. Dollar, ohne die neu eröffneten Läden sogar um neun Prozent. Bislang sollten bereits 600 Läden geschlossen werden.

Auf Diät gesetzt

Es gehe nicht mehr nur darum, einen Sturm zu überstehen, sagte Konzernchef und Mitgründer Howard Schultz. "Starbucks muss schlanker werden." Die Zeit um Weihnachten und den Jahreswechsel beschert der Kette sonst eigentlich die größten Gewinne. Mit seinen Zahlen für das Ende Dezember abgeschlossene erste Geschäftsquartal verfehlte das Unternehmen die Erwartungen der Analysten.

Zuletzt hatte Starbucks weltweit mehr als 16.800 Filialen, davon allein 11.500 in den USA sowie etwa 120 in Deutschland. Der Konzern beschäftigt etwa 170.000 Mitarbeiter. Nun müssen 6.000 Beschäftigte in den Läden und rund 700 im übrigen Konzern gehen.

Starbucks leidet heute massiv an der bis 2007 immer schnelleren Expansion. Mit der Wirtschaftskrise ging die Kette endgültig auf Talfahrt. Zu schaffen macht Starbucks auch die wachsende Konkurrenz durch weniger hochpreisige Kaffee-Angebote etwa von McDonald's.

Ehrgeiz zurückgestellt

Die Zahl der neben den Schließungen noch geplanten Neueröffnungen wird erneut drastisch verringert. In den USA sollen 140 Läden statt der zuletzt geplanten 200 gestartet werden, international 170 statt 270 Filialen. Ursprünglich waren die Ausbaupläne noch viel ehrgeiziger.

Alle Einschnitte zusammen sollen im laufenden Jahr Einsparungen von 500 Mio. Dollar bringen und damit 100 Mio. Dollar mehr als bisher. Zunächst kosten die Maßnahmen aber mindestens 230 Mio. Dollar. Sein eigenes jährliches Grundgehalt ließ Schultz von zuletzt 1,2 Mio. Dollar auf 10.000 Dollar zusammenstreichen.

Schultz fährt seit seiner Rückkehr an die Unternehmensspitze vor einem Jahr einen harten Sanierungskurs. In mehreren Wellen wurden bereits Stellenstreichungen und Ladenschließungen bekanntgegeben sowie frühere Expansionspläne zurückgefahren.

Die Amazon.com Inc. (ISIN US0231351067/ WKN 906866) veröffentlichte am Donnerstag nach US-Börsenschluss die Zahlen für das vierte Quartal 2008. Dabei konnte der weltweit größte Online-Einzelhändler aufgrund eines 18-prozentigen Umsatzanstiegs den Gewinn unerwartet kräftig steigern.

Das Nettoergebnis stieg demnach von 207 Mio. Dollar bzw. 48 Cents je Aktie auf nun 225 Mio. Dollar bzw. 52 Cents je Aktie. Die Analysten hatten zuvor ein EPS von 39 Cents erwartet.

Die Umsatzerlöse konnten im Berichtszeitraum von 5,67 Mrd. Dollar auf nun 6,70 Mrd. Dollar gesteigert werden. Im Vorfeld hatten die Analysten die Umsätze bei 6,44 Mrd. Dollar gesehen.

Für das derzeit laufende erste Quartal 2009 erwartet Amazon ein operatives Ergebnis zwischen 125 und 210 Mio. Dollar bei Umsätzen von 4,525 bis 4,925 Mrd. Dollar.

Dagegen erwarten die Analysten ein EPS von 31 Cents bei Umsatzerlösen von 4,57 Mrd. Dollar.

Mittelfristiges Ziel 60 Dollar schaut machbar aus :scratch: Um die Vierzig relativ starke Unterstützung
