PETROTAL ANNOUNCES 2019 YEAR-END FINANCIAL AND OPERATING RESULTS

Petrotal Corp. has released its financial and operating results for the year and the three months ended Dec. 31, 2019.

Selected financial, reserves and operational information is outlined below and should be read in conjunction with the Company's audited consolidated financial statements ("Financial Statements"), management's discussion and analysis ("MD&A") and annual information form ("AIF") for the year ended December 31, 2019, which are available on SEDAR at www.sedar.com and the Company's website. Reserves numbers presented herein were derived from an independent reserves report (the "NSAI Report") prepared by Netherland, Sewell & Associates, Inc. ("NSAI") effective December 31, 2019. All amounts herein are in United States dollars ("USD") unless otherwise stated.

2019 HIGHLIGHTS

The Company reached several key operational and financial achievements during 2019 as described below:

Q4 Highlights

Drilled and completed the Company's first horizontal well (4H), having a 500 meter lateral and utilizing autonomous inflow control device ("AICD") valves to maximize oil production;

Drilled and completed the 5H well, the longest horizontal well drilled in Peru. The well reached the target Vivian formation at a vertical depth of 2,696 meters and then with an 863 meter horizontal section inside the main productive oil reservoir;

Commissioning of the new $31.6 million Central Production Facility ("CPF") commenced on December 22, 2019 with the successful hydrostatic test of the new 20,000 barrel oil storage tank;

Earned net income of $18.2 million ($0.03 per share basic) compared to a net loss of $2.2 million in Q4 2018;

Higher operating net back of $28.6 million compared to $2.3 million in Q4 2018;

For Q4 2019 the Company recognized funds flow generated of $22.2 million, as compared to utilization of negative $1.9 million in Q4 2018;

Achieved a record quarterly oil production of 7,767 bopd, an increase of 670% over Q4 2018 (1,158 bopd), and an increase of 63% over Q3 2019 (4,760 bopd);

Q4 2019 sales volumes averaged 9,509 bopd compared to 1,199 bopd in Q4 2018; and,

Capital expenditures were $26.9 million in Q4 2019 compared to $4.4 million in Q4 2018.

GoGold Resources Inc. has released the assay results from nine diamond drill holes at the Los Ricos South project, including three at San Juan, four at the Main area, one at Rascadero and the first results from the East vein.

Hole LRGG-20-174 was drilled on Section 475N in the Main area of the project and intersected the Los Ricos quartz vein from 214.5 to 229.5 metres for 15.0 metres of 365 grams per tonne silver equivalent, consisting of 2.56 g/t gold and 173 g/t silver. The intersect included 4.4 m of 1,120 g/t silver equivalent.

STRATEGIC METALS LTD. ANNOUNCES PRIVATE PLACEMENT OFFERING OF UP TO C$4,000,000

Strategic Metals Ltd. has arranged a brokered private placement, to be co-led by Agentis Capital Markets Canada Ltd. and Haywood Securities Inc., on a commercially reasonable efforts basis, to raise gross proceeds of up to $4-million, consisting of up to $1-million of units of the company at a price of 45 cents per unit and up to $3-million of flow-through units of the company at a price of 64 cents per FT unit. Each unit comprises one common share in the authorized share structure of the company and one common share purchase warrant. Each FT unit comprises one common share that will qualify as a flow-through share (within the meaning of Subsection 66(15) of the Income Tax Act (Canada)) and one warrant.

Each warrant will entitle the holder to purchase one common share at an exercise price of 65 cents for 24 months following closing of the offering.

The company has granted the agents an option to increase the size of the offering by up to 25 per cent. The agents' option may be exercised in whole or in part by the agents up to two days prior to the closing of the offering.

The net proceeds from the offering will be used primarily to finance exploration activities and for general corporate and working capital purposes. The gross proceeds raised from the issuance of FT units will be used for Canadian exploration expenses and will qualify as flow-through mining expenditures as defined in the Income Tax Act (Canada), which will be renounced to the initial purchasers of the FT units with an effective date no later than Dec. 31, 2020, in an aggregate amount not less than the gross proceeds raised from the issuance of the FT units.

The company will pay a commission to the agents of 6 per cent of the gross proceeds of the offering (including from any exercise of the agents' option). The company has also agreed to issue to the agents non-transferable warrants equal in number to 6 per cent of the aggregate number of offered securities issued. Each broker warrant shall be exercisable or deemed exercisable to acquire one unit at a price equal to the unit price for a period of 24 months from the closing date of the offering.

The offering is scheduled to close on or about July 8, 2020, and is subject to certain conditions including, but not limited to, the receipt of all necessary approvals of the TSX Venture Exchange.

All offered securities issued pursuant to the offering, including any common shares that may be issued pursuant to the exercise of the warrants, will be subject to a hold period in Canada of four months and one day from the closing date of the offering.

Financial and operational update

Further to the announcement of June 12, 2020, concerning the three-year arrangement with Petroperu SA, the company provides a further update on the current financial and operational status of the company.

Contingent liability

Petroperu and the company have agreed to structure the contingent liability due to Petroperu under the Bretana field oil sales contract and oil swap contracts with Petroperu into a liability to Petroperu to be paid by Petrotal over a three-year period.

At May 31, 2020, approximately 2.1 million barrels (mmbbl) of oil produced by Petrotal and sold to Petroperu under the contracts were either in the pipeline or storage tanks.

ANACONDA MINING ANNOUNCES ARGYLE DRILL RESULTS, INCLUDING 5.26 G/T GOLD OVER 4.0 METRES AND 4.48 G/T OVER 9.14 METRES

Anaconda Mining Inc. has released results of a 2,305-metre infill drill program at the Argyle deposit, located approximately 4.5 kilometres from the company's operating Pine Cove mill and tailings facility at the Point Rousse project in Newfoundland. The purpose of the Argyle infill program, comprising both percussion and diamond drilling, was to better define and upgrade all shallow portions of the deposit to the indicated resource category in anticipation of mine development in the second half of 2020. Twenty-four diamond drill holes (AE-20-134 to 157) were completed totalling 1,448.4 metres and 61 percussion holes (AEP-20-26 to 86) were completed totalling 856.3 metres.

Highlights from the Argyle infill program include:

5.26 grams per tonne gold over 4.0 metres (19.5 to 23.5 metres) in diamond drill hole AE-20-140;
4.56 g/t gold over 4.5 metres (37.0 to 41.5 metres), including 24.70 g/t gold over 0.5 metre in diamond drill hole AE-20-138;
2.16 g/t gold over 8.5 metres (15.0 to 23.5 metres) in diamond drill hole AE-20-143;
6.62 g/t gold over 4.57 metres (10.97 to 15.54 metres) in percussion hole AEP-20-50;
4.48 g/t gold over 9.14 metres (7.32 to 16.46 metres), including 16.61 g/t gold over 0.91 metre in percussion hole AEP-20-78.


Selected intersections from the Argyle infill program are shown in the associated tables.

MERIDIAN CAPITAL INTERNATIONAL FUND PURCHASES UNITS OF PETROTAL CORP.

Meridian Capital International Fund, on June 18, 2020, acquired 75 million units of Petrotal Corp. by way of a private placement at a price of 10 pence (approximately 17 cents) per unit, for total consideration of 7.5 million pounds (approximately $12,680,574). Each unit consists of one common share of Petrotal and one-half of one warrant. Each whole warrant (comprised of two half warrants) can be exercised to acquire one Petrotal common share for 16 pence until the third anniversary of their issuance.

The 75 million common shares acquired by Meridian, together with the common shares of Petrotal previously held by it, result in Meridian having beneficial ownership of approximately 19.42 per cent of Petrotal's outstanding common shares. Prior to Meridian's acquisition of the 75 million common shares on June 18, 2020, Meridian owned 79,010,361 common shares of Petrotal, representing approximately 11.8 per cent of Petrotal's outstanding common shares.

The common shares of Petrotal were acquired by Meridian for investment purposes. Meridian will continue to review the performance of and prospects for this investment, and investment alternatives.
