Amarc, Thompson firm up option agreement for IKE

2016-02-29 09:58 ET - News Release

See News Release (C-AHR) Amarc Resources Ltd

Mr. Ronald Thiessen of Amarc Resources reports

Amarc Resources Ltd. has finalized a definitive agreement with Thompson Creek Metals Company Inc. in order to advance the IKE porphyry copper discovery in south-central British Columbia. Under the agreement, Thompson Creek has the option to acquire up to a 50-per-cent interest in the IKE project through a staged investment process.

Thompson Creek has the option to acquire an initial 30-per-cent interest through staged investments totalling $15-million on or before Dec. 31, 2019, of which $3-million was completed in 2015. Subsequently, Thompson Creek can acquire an additional 20-per-cent interest, subject to certain conditions, including completing a feasibility study within a two-year period that can be extended to three years in certain circumstances.

The IKE copper-molybdenum-silver porphyry discovery, together with the surrounding district of highly prospective porphyry copper (plus or minus molybdenum, plus or minus silver, plus or minus gold) targets yet to be drill-tested, have the potential to possess the grades and resources necessary to develop an important mining camp. The project is located 45 kilometres northwest of Gold Bridge, in south-central B.C., near the heartland of B.C.'s producing porphyry copper mines.

Assay results from all 18 holes (10,437 metres) drilled by Amarc at IKE since 2014, combined with results from geological, geochemical and geophysical surveys completed outward from the area drilled, indicate the presence of an important porphyry-style copper-molybdenum-silver deposit (see Amarc news release dated Dec. 9, 2015). All drill holes have intersected varying amounts of chalcopyrite and molybdenite mineralization over a broad area measuring 1,200 metres east-west by 1,000 metres north-south and extending to depths of over 500 metres. The deposit remains open to expansion in all lateral directions and to depth.

Kiska Completes Sale of Non-Core Midlothian Project

http://www.marketwired.com/press-re...idlothian-project-tsx-venture-ksk-2102163.htm

VANCOUVER, BC--(Marketwired - March 02, 2016) - Kiska Metals Corporation ("Kiska" or the "Company") is pleased to announce that it has entered into an agreement ("Agreement") to sell its non-core Midlothian Project ("Property") to Canadian Gold Miner Corp. ("CGM"), a subsidiary of Transition Metals Corp. ("XTM").

Under the terms of the Agreement, Kiska will assign to CGM, the Purchase and Sale Agreement, and the Royalty Agreement dated July 18, 2014 between Laurion Mineral Exploration Inc. and the Company, so that CGM may earn a 100% beneficial interest in and to the Property. As compensation, Kiska will receive the following:

$100,000 worth of founder's shares in the capital stock of CGM upon execution;
$200,000 worth of additional shares or units (as the case may be) in the capital stock of CGM upon the earlier of:
The first anniversary of the Agreement, or;
CGM completing a minimum $2M financing;
A $2.5M milestone payment within 6 months of Commercial Production, payable in cash or shares at the election of CGM.

The additional CGM shares/units will be priced in accordance with the most recent financing activity of CGM, and Kiska will have the right to maintain its pro-rata ownership in future financings.

"This transaction provides Kiska shareholders with exposure to the value-creating ability of the XTM team -- a talented and proven Ontario exploration group focussed on exploring and consolidating prospective gold properties in the region," stated Grant Ewing, Kiska's CEO.

The Midlothian project is a road-accessible, high-grade, lode gold prospect located in Ontario's Abitibi Greenstone belt, 25 km west of the Young-Davidson gold mine. The property is transected by an under-explored segment of the Cadillac-Larder Lake Fault Zone (CLFZ), host to the prolific gold camps in Kirkland Lake, Rouyn-Noranda and Val-D'Or. Prospecting on the property in 2013 discovered the Bjorkman Zone, a 1 metre wide quartz-carbonate vein with visible gold that returned several high-grade rock chip samples, including a highlight result of 0.8 metres (true width) of 2,060 g/t gold (see August 7, 2013 news release for full suite of results). The Bjorkman Zone is located within the Bjorkman fault, an interpreted secondary fault structure connected to the CLFZ. A property-wide MMI soil survey conducted in 2015 highlighted extensions of the Bjorkman Zone under till cover, and other till-covered areas coincident with interpreted fault structures, as significant exploration targets.

The technical content of this document was reviewed and approved by Michael Roberts, Ph.D., P.Geo., Vice President of Exploration for Kiska Metals Corporation, a Qualified Person as defined by National Instrument 43-101.

AUD an Bareinlagen.

2016-03-02 15:08 ET - News Release

Mr. Ronald Thiessen reports

TASEKO EXECUTIVES SERVE RAGING RIVER GROUP WITH DEFAMATION NOTICE

The independent counsel to Taseko Mines Ltd. executives Russell Hallbauer and Brian Battison has served a formal demand on Raging River Capital LP and Mark Radzik for a full retraction and apology with respect to the allegations of insider trading made in Raging River's press release of March 1, 2016.

The demand letter from the law firm of Nathanson Schacter & Thomson LLP notes that Raging River's and Mr. Radzik's statements in making the allegations were reckless, without foundation and untrue, and that the share purchases in question were transparent and publicly disclosed.

Taseko is reviewing its own rights and obligations in connection with the allegations. A copy of the retraction demand can be found on Taseko's website.

2016-02-23 19:38 ET - News Release

Mr. Russell Hallbauer reports

TASEKO REPORTS STRONG 2015 YEAR END RESULTS DESPITE CHALLENGING MARKET CONDITIONS

Taseko Mines Ltd. has released financial results for the year ended Dec. 31, 2015.

Russell Hallbauer, president and chief executive officer of Taseko, commented: "Financially and operationally, Taseko performed extremely well in 2015, despite a challenging business environment. The price of copper continued its decline in 2015 with prices averaging 20 per cent lower than in 2014. Even with significantly lower copper pricing, cash flows from operations increased to $52-million, and earnings from mining operations before depletion and amortization were $51-million. We ended the year with a strong cash position of $76-million, up $23-million from the end of 2014. Subsequent to year-end, we also completed a $70-million (U.S.) credit facility to further strengthen our balance sheet. The initial proceeds were used to repay a $31-million (U.S.) loan, which had a May, 2016, maturity, and the balance of the facility will be available to us moving forward.

"In the fourth quarter, we generated operating margin of $6-million; however, the decline in copper price in the fourth quarter resulted in negative provisional pricing adjustments of $4-million, which impacted the average realized price and earnings for the quarter. The strong operating margin was mainly attributable to further reductions in cost per ton milled," continued Mr. Hallbauer.

Annual highlights for 2015:

Earnings from mining operations before depletion and amortization were $50.8-million, a decrease from $52.3-million in 2014.
The company generated cash flows from operations of $51.7-million, up from $50.6-million in 2014.
The company's cash balance at the end of 2015 was $76.0-million, $22.7-million higher than at the end of 2014.
Site operating costs were $1.65 (U.S.) per pound produced, a 29-per-cent decrease from $2.32 (U.S.) per pound in 2014.
Total operating costs (C1) were $1.96 (U.S.) per pound produced, a 22-per-cent decrease from the $2.50 (U.S.) over the 2014 financial year due to reduced expenditures and increased copper production, despite a significant reduction in byproduct credits due to the idling of the molybdenum plant in July.
Site operating costs per ton milled were $9.83 (Canadian), a 14-per-cent decrease over the 2014 financial year due to reduced expenditures and higher mill throughput.
During the year, the company settled its copper put option contracts for proceeds of $21.4-million, resulting in a gain on derivatives of $13.3-million.
Copper production at Gibraltar was at a record level of 142 million pounds (100-per-cent basis), a 4-per-cent increase over 2014 due to improved head grade, mill throughput and recoveries.
The company has in place copper put options for a total of 15 million pounds over the first quarter of 2016 at a strike price of $2.05 (U.S.) per pound.
In the second quarter, an updated mine plan and reserve for Gibraltar were completed. The newly implemented mine plan has resulted in improved economics for the remaining 23-year reserve life.

Fourth quarter highlights:

Earnings from mining operations before depletion and amortization were $2.2-million, and were impacted by negative provisional price adjustments of $3.8-million.
Site operating costs, net of byproduct credits, were $1.52 (U.S.) per pound produced, and total operating costs (C1) were $1.85 (U.S.) per pound produced.
Site operating cost per ton milled was $9.41 (Canadian), which was lower than the 12-month average of $9.83 (Canadian).
Copper production at Gibraltar was 33.1 million pounds (100-per-cent basis).
The company entered into a five-year offtake agreement to sell 600,000 tonnes of Gibraltar copper concentrate (approximately 50 per cent of expected production) through to the end of 2020, with treatment and refining rates significantly better than current market rates.

"Our Gibraltar mine achieved record copper production of 142 million pounds from mill throughput of 31 million tons, which was also a record amount of ore processed. Copper grade and recoveries were also higher in 2015. Most importantly, Gibraltar's total cash costs (C1) declined from the first half of 2015 to the second half. A number of cost initiatives contributed to the lower costs, including a work force reduction, lower input costs, weaker Canadian dollar and ongoing performance improvements," continued Mr. Hallbauer. "We expect to continue to benefit from the lower costs going forward, and we also have a number of other initiatives under way to further reduce costs. While cost per pound is important, our focus continues to be on cost per ton milled, which at under $10 (Canadian) per ton makes Gibraltar one of the most cost-effective mines in the industry."

Mr. Hallbauer concluded: "Off-property costs have been another significant focus for the company in recent months. We have entered into a five-year treatment and refining offtake agreement, and we also capitalized on ocean freight rates being at 20-year lows with a new three-year contract of affreightment with one of the world's leading dry-bulk operators. Combined cost saving from both of these agreements are expected to be approximately $7-million (U.S.) annually. We now have a large percentage of our off-property costs locked in at very favourable terms. The quality of Gibraltar concentrate allowed us to negotiate favourable terms for both of these long-term contracts."

Taseko expects to receive Gibraltar power cost deferral

2016-02-09 07:52 ET - News Release

Mr. Russell Hallbauer reports

TASEKO EXPECTS TO RECEIVE POWER COST DEFERRAL FOR GIBRALTAR MINE

Taseko Mines Ltd.'s Gibraltar mine expects to benefit from a five-year power rate deferral program announced by the British Columbia government.

"Electricity is one of Gibraltar's most significant expenses, accounting for nearly 10 per cent of the mine's total operating costs," said Russell Hallbauer, president and chief executive officer of Taseko. "This cost deferral program has the potential to reduce Gibraltar's annual spending by up to $20-million, or roughly 15 cents per pound of copper production, at the current copper price of approximately $2.10 (U.S.) per pound, effective this month."

Details of the program, which would be delivered through the province's Crown corporation BC Hydro, remain to be disclosed. Taseko will provide additional information with regard to its Gibraltar electricity costs after Taseko has signed a deferral agreement with BC Hydro.

Cdn Zinc signs off-take deals for Prairie Creek Zn, Pb

2016-03-03 07:49 ET - News Release

Mr. John Kearney reports

CANADIAN ZINC SIGNS AGREEMENTS WITH KOREA ZINC AND BOLIDEN FOR PRAIRIE CREEK MINE ZINC AND LEAD CONCENTRATE PRODUCTION

Canadian Zinc Corp. has signed agreements with Korea Zinc and Boliden for the sale of zinc and lead concentrates to be produced at Canadian Zinc's 100-per-cent-owned Prairie Creek mine.

Canadian Zinc has entered into a memorandum of understanding with Korea Zinc for the sale of approximately 20,000 wet tonnes to 30,000 wet tonnes of zinc sulphide concentrates, approximately 15,000 wet tonnes to 20,000 wet tonnes of lead sulphide concentrates and approximately 5,000 tonnes of lead oxide concentrates, per year, for a minimum period of five years from the date of start-up of the Prairie Creek mine, with exact annual quantities to be mutually agreed.

The company has also entered into a memorandum of understanding with Boliden for the sale of a minimum of 20,000 dry tonnes and up to 40,000 dry tonnes of zinc sulphide concentrates, per year, for a minimum of five years from the start of regular deliveries, with exact annual quantities to be mutually agreed.

"These off-take arrangements with two of the pre-eminent smelting companies in the world, confirming the marketability of Prairie Creek's zinc and lead concentrates, represent a major step forward in the development of the Prairie Creek mine and move Canadian Zinc closer to production," stated John Kearney, chairman and chief executive officer of Canadian Zinc.

The MOUs with each of Korea Zinc and Boliden set out the intentions of Canadian Zinc and each of Korea Zinc and Boliden to enter into concentrate sales agreements for the concentrates to be produced from the Prairie Creek mine on the general terms set out in the MOUs, including commercial terms, which are to be kept confidential.

These sale agreements will represent all of the planned production of zinc concentrate and about half of the planned production of lead concentrate for the first five years of operation at the Prairie Creek mine. It is expected that shipments will be made from the port of Vancouver with the exact shipping schedule and lot sizes in each delivery to be mutually agreed within the project's shipping season.

The sales agreements will provide that treatment charges will be set annually at the annual benchmark treatment charges and scales, as agreed between major smelters and major miners.

Payables, penalties and quotational periods will be negotiated in good faith annually during the fourth quarter of the preceding year, including industry-standard penalties for mercury contained in the zinc concentrate based on indicative terms and agreed limits specified in each MOU.

"In negotiating these arrangements for the future sale of Prairie Creek concentrates, Canadian Zinc has secured the annual off-take and sale of a minimum of 40,000, and potentially up to 70,000 metric tonnes, of zinc concentrates and 20,000 to 25,000 tonnes of lead concentrates, per year, and with the flexibility for any remaining unallocated concentrate being available for third party or spot market sales," concluded Mr. Kearney.

http://www.marketwired.com/press-release/luna-gold-provides-corporate-update-tsx-lgc-2102578.htm

VANCOUVER, BC--(Marketwired - March 03, 2016) - Luna Gold Corp. (TSX: LGC),"Luna" or the "Company") is pleased to release initial results from its 2015 drilling program at the Aurizona Gold Project in Brazil.

2015 Drilling Program

The Company completed a drilling program in December 2015 consisting of 15,142 metres of oriented core drilling and 3,264 metres of reverse circulation drilling. The primary goal of the program was to infill drill the Piaba mineral resource with approximately 50-metre drill hole spacing versus the previous 100-metre spacing. Although the company has not yet received all of the assay results from the drilling program, the results support Luna's geological understanding and will give us greater certainty as we develop an updated resource model. Highlight intercepts from the drilling program are included in the table below. All drill results received to date, which represent 93% of the drilling, can be found on the Company's website at www.lunagold.com.
