SIBANYE ANNOUNCES PROPOSED ACQUISITION OF STILLWATER MINING COMPANY

Creating superior value for all stakeholders
Westonaria, 9 December 2016: Sibanye Gold Limited (Sibanye) is pleased to announce it has reached a definitive agreement to acquire Stillwater Mining Company (Stillwater, NYSE: SWC) for US$18 per share in cash, or US$2.2 billion in aggregate (approximately R30 billion). The consideration represents a premium of 23% to Stillwater’s prior day closing share price, and 20% to Stillwater’s 20-day volume-weighted average closing share price.
Stillwater Mining Company, a leading palladium and platinum producer located in Montana and headquartered in Colorado, USA, is a Tier One producer of platinum group metals (PGMs). Stillwater currently comprises two underground PGM mines (the Stillwater Mine and the East Boulder Mine), the Blitz organic growth Project and the Columbus Metallurgical Complex.
Commenting on the announcement, Neal Froneman, CEO of Sibanye said: “The Transaction is consistent with Sibanye’s strategy of creating superior value for all of our stakeholders by enhancing the cash flow generation through value accretive growth, which underpins our strategy of paying sustainable, industry-leading dividends. The Transaction represents a transformational opportunity for Sibanye to acquire high-quality, low-cost, PGM assets at a favourable point in the cycle.”
Strategically the Transaction is compelling in that it expands Sibanye’s PGM portfolio with high-grade reserves that currently support over 25 years of mine life, and also provide near term, organic, low-cost growth through the Blitz Project. Furthermore, the extensive strike length of the mineralised orebody, suggests that there may be further upside potential.
Sillwater’s Columbus metallurgical processing complex will provide Sibanye with a “mine-to-market” PGM business and the sizeable recycling operation provides a steady margin and strategic market insight.
The Transaction also positions Sibanye shareholders for a potential re-rating. Following a thorough due diligence on Stillwater, Sibanye management considers the Transaction to be value accretive. In addition, the transaction will position Sibanye’s Platinum Division further down the global cost curve, with the potential of further cost reductions, thus enhancing the Group’s cash flow generation and improving its access to lower-cost global financing.
Mick McMullen, CEO of Stillwater said: “The Board of Directors of Stillwater has approved the Transaction and recommends that stockholders of Stillwater vote in favor of it. The Transaction allows our stockholders to realise immediate value and also positions our operations and employees as part of a preeminent global precious metals company. The implementation of the Transaction is subject to Stillwater and Sibanye shareholder approval as well as applicable regulatory approvals in the U.S. and South Africa. Sibanye’s two largest shareholders, Gold One International Ltd. and the PIC, which in aggregate represent 29% of Sibanye’s issued share capital, have indicated their support for the Transaction.
Sibanye will fund the transaction through a US$2.7 billion bridge loan commitment. The Transaction is expected to close in the second quarter of 2017. Post-closing of the Transaction, Sibanye will raise new debt and equity through a rights issue, with the objective of maintaining its dividend policy and preserving its long-term financial flexibility.
Froneman concluded: “This Transaction balances Sibanye’s portfolio operationally and geographically with the addition of a world-class operation in an attractive mining jurisdiction. Gran Colombia Gold Provides Update on Production and 2020 Debenture Repurchase

TORONTO, ON--(Marketwired - December 09, 2016) - Gran Colombia Gold Corp. (TSX: GCM) announced today that it produced a total of 12,973 ounces of gold in November 2016 bringing the eleven months' total production to 134,893 ounces of gold, up 28% over the same period last year. The Company expects that its total gold production for 2016 will reach the upper half of its latest guidance for the full year of 144,000 to 150,000 ounces.

At the Segovia Operations, November's gold production of 10,870 ounces reflected improved head grades in material from the Company-operated area within the Providencia mine where development activity has reached an expected high grade section of the resource. This brings the year-to-date total gold production at Segovia to 113,479 ounces, up 35% from the same period last year and for the full year, the Company continues to expect that Segovia's gold production will reach the upper end of its latest guidance of 120,000 to 126,000 ounces.

At the Marmato Operations, head grades and mill recovery showed some improvement compared with results in previous months and the mine produced 2,103 ounces in November, bringing the year-to-date total gold production to 21,415 ounces, on par with the same period last year. 2020 Debenture Repurchase and Cancellation

On December 6, 2016, the Company used the approximately $1.1 million balance of funds available in the sinking fund for the 2020 Debentures to complete a block purchase under its normal course issuer bid of $1,290,000 aggregate principal amount of 2020 Debentures for cancellation. Gran Colombia Gold Announces Third Quarter and First Nine Months 2016 Results; Expecting Over 144,000 Ounces of Annual Gold Production for 2016 at an AISC Below $850 per Ounce

TORONTO, ON--(Marketwired - November 14, 2016) - Gran Colombia Gold Corp. (TSX: GCM) announced today the release of its unaudited condensed consolidated financial statements and accompanying management's discussion and analysis (MD&A) for the three and nine months ended September 30, 2016. All financial figures contained herein are expressed in U.S. dollars unless otherwise noted.

Third Quarter and First Nine Months 2016 Highlights

Gran Colombia's adjusted EBITDA increased to $19.7 million in the third quarter of 2016 bringing the total adjusted EBITDA for the first nine months of 2016 to $49.6 million, a 74% increase over the same period last year. See the Company's MD&A for the computation of this non-IFRS measure. The increased adjusted EBITDA in the third quarter of 2016 led to improved operating cash flow which in turn enabled the Company to continue to take further steps to reduce overdue local financial obligations for amounts owing to suppliers, equity and wealth taxes. The Company also received $4.0 million of overdue VAT refunds in October 2016 that will applied to reduce liabilities within its working capital deficit in the fourth quarter of 2016.
Gold production in the third quarter of 2016 totalled 39,111 ounces, up 14% from the third quarter of 2015, bringing the total for the first nine months of 2016 to 108,829 ounces, a 25% improvement over the first nine months last year led by strong performance at its Segovia Operations. With another 13,088 ounces produced in October, the Company is increasing its annual production guidance for 2016 to a total of 144,000 to 150,000 ounces of gold.
A total of $17.2 million aggregate principal amount of 2018 Debentures (TSX: GCM.DB.U) were converted by holders in the third quarter of 2016 into 132.1 million common shares. In addition, Gran Colombia repurchased and cancelled $0.8 million aggregate principal amount of 2018 Debentures and $0.8 million aggregate principal amount of 2020 Debentures (TSX: GCM.DB.V) under the Normal Course Issuer Bids ("NCIBs") launched on July 21, 2016. To date, debt conversions and repurchases under the NCIBs have reduced the aggregate principal amount of Gran Colombia's senior debt by approximately 18%. The Company currently has 277,727,323 common shares issued and outstanding. Aggregate principal amounts of the 2018 and 2020 Debentures issued and outstanding are $49.7 million and $102.5 million, respectively. The NCIBs are being funded by excess cash flow being deposited into sinking funds for the Senior Debentures. There is currently a balance of $1.1 million in the sinking funds.
Revenue of $51.2 million in the third quarter of 2016, up 30% over the third quarter last year, reflects the stronger spot gold prices in the third quarter of 2016 and the increased gold production this year that contributed to a 10% increase in gold ounces sold. This brings total revenue for the first nine months of 2016 to $133.7 million, up 32% over the first nine months last year.
Gran Colombia's total cash costs and all-in sustaining costs ("AISC") increased to $728 per ounce and $884 per ounce, respectively, in the third quarter of 2016. The third quarter 2016 total cash costs reflected the impact on cash costs of the civil strike at Segovia in September, additional charges related to previous reductions in Segovia's workforce and the adverse impact of lower production at Marmato on its cash cost on a per ounce basis in the current quarter. The third quarter 2016 AISC included an expected increase in capital expenditures associated with the exploration, development and mechanization programs at the Segovia Operations. With total cash costs and AISC averaging $699 per ounce and $832 per ounce, respectively, for the first nine months of 2016, the Company has narrowed its guidance for the 2016 annual averages for total cash costs to a range from $700 to $720 per ounce and for AISC to a range from $825 to $850 per ounce. The net income attributable to shareholders was $8.1 million, or $0.03 per share, for the third quarter of 2016 compared with $6.7 million, or $0.28 per share, in the third quarter of 2015. For the first nine months of 2016, net income attributable to shareholders amounted to $19.0 million, or $0.12 per share, compared with $6.4 million, or $0.27 per share, in the first nine months last year.
Adjusted net income attributable to shareholders was $8.1 million, or $0.03 per share, in the third quarter of 2016 compared with $2.0 million, or $0.08 per share, in the third quarter of last year. For the first nine months of 2016, adjusted net income attributable to shareholders was $12.2 million, or $0.08 per share, compared with $1.8 million, or $0.08 per share, in the first nine months last year. China crackdown could curb rare earths outflow

A rare-earth metal mine in China.
TOKYO -- The Chinese government has stepped up enforcement of environmental rules at rare-earth metal plants, as well as illegal mining and smuggling of the key industrial materials.

Japanese users are feeling nervous about possible fallout, with memories still fresh of the hardship they encountered when Beijing abruptly halted rare-earths exports to Japan in 2010.

Tightening grip
"Some rare-earth metals are still mostly produced in China. Their prices will swing wildly depending on what happens there," an executive at a Japanese magnet maker said.

Dysprosium, a rare-earth metal that is used in high-performance magnets to boost heat resistance, now changes hands at less than a tenth of what it fetched during its peak in 2011. Many market players believe that the price is bottoming out and will start to climb because the Chinese government began making serious efforts into reducing rare earths supplies and exports.

Beijing carried out a series of spot inspections on environmental measures at factories over a month or so last summer. Teams of experts from the capital tested wastewater and examined pollution-reduction measures at rare-earths smelting and separation plants. Operations at facilities that did not meet standards were suspended.

Those inspections covered a total of eight provinces and regions, such as Inner Mongolia, Heilongjiang and Jiangsu.

"It appears that inspectors have found lots of regulation violations all over the place," said Yoshikazu Watanabe, president of Tsukushi Shigen Consul, a natural resources consultancy. "Some people were even arrested, apparently," Watanabe said.

SIBANYE ANNOUNCES PROPOSED ACQUISITION OF STILLWATER MINING COMPANY

Creating superior value for all stakeholders
Westonaria, 9 December 2016: Sibanye Gold Limited (Sibanye) is pleased to announce it has reached a definitive agreement to acquire Stillwater Mining Company (Stillwater, NYSE: SWC) for US$18 per share in cash, or US$2.2 billion in aggregate (approximately R30 billion). The consideration represents a premium of 23% to Stillwater’s prior day closing share price, and 20% to Stillwater’s 20-day volume-weighted average closing share price.
Stillwater Mining Company, a leading palladium and platinum producer located in Montana and headquartered in Colorado, USA, is a Tier One producer of platinum group metals (PGMs). Stillwater currently comprises two underground PGM mines (the Stillwater Mine and the East Boulder Mine), the Blitz organic growth Project and the Columbus Metallurgical Complex.
Commenting on the announcement, Neal Froneman, CEO of Sibanye said: “The Transaction is consistent with Sibanye’s strategy of creating superior value for all of our stakeholders by enhancing the cash flow generation through value accretive growth, which underpins our strategy of paying sustainable, industry-leading dividends. The Transaction represents a transformational opportunity for Sibanye to acquire high-quality, low-cost, PGM assets at a favourable point in the cycle.”
Strategically the Transaction is compelling in that it expands Sibanye’s PGM portfolio with high-grade reserves that currently support over 25 years of mine life, and also provide near term, organic, low-cost growth through the Blitz Project. Furthermore, the extensive strike length of the mineralised orebody, suggests that there may be further upside potential.
Sillwater’s Columbus metallurgical processing complex will provide Sibanye with a “mine-to-market” PGM business and the sizeable recycling operation provides a steady margin and strategic market insight.
The Transaction also positions Sibanye shareholders for a potential re-rating. Following a thorough due diligence on Stillwater, Sibanye management considers the Transaction to be value accretive. In addition, the transaction will position Sibanye’s Platinum Division further down the global cost curve, with the potential of further cost reductions, thus enhancing the Group’s cash flow generation and improving its access to lower-cost global financing.
Mick McMullen, CEO of Stillwater said: “The Board of Directors of Stillwater has approved the Transaction and recommends that stockholders of Stillwater vote in favor of it. The Transaction allows our stockholders to realise immediate value and also positions our operations and employees as part of a preeminent global precious metals company. Sibanye has complementary values to Stillwater, and we are confident that Sibanye will continue to be a world-class steward of our operations and partner to our local communities in Montana.”
The implementation of the Transaction is subject to Stillwater and Sibanye shareholder approval as well as applicable regulatory approvals in the U.S. and South Africa. Sibanye’s two largest shareholders, Gold One International Ltd. and the PIC, which in aggregate represent 29% of Sibanye’s issued share capital, have indicated their support for the Transaction.
Sibanye will fund the transaction through a US$2.7 billion bridge loan commitment. The Transaction is expected to close in the second quarter of 2017. Post-closing of the Transaction, Sibanye will raise new debt and equity through a rights issue, with the objective of maintaining its dividend policy and preserving its long-term financial flexibility.
Froneman concluded: “This Transaction balances Sibanye’s portfolio operationally and geographically with the addition of a world-class operation in an attractive mining jurisdiction. We have been most impressed with the workforce at Stillwater, and look forward to the opportunity of working with them. The Globe and Mail reports in its Wednesday edition that Acumen Capital analyst Trevor Reynolds says the current price for shares of Freehold Royalties is a "reasonably strong" entry point for investors. The Globe's David Leeder writes that Mr. Reynolds began new coverage with a "buy" rating. He set a share price target of $16.15. Analysts on average target the shares at $15.56. Mr. Reynolds says in a note: "FRU is an O&G royalty company with an emphasis on the maximization of distributable income, while striving to achieve long-term growth per share. The royalty model provides strong margins based on modest capital requirements, and returns which are not burdened by operating costs and crown royalties. FRU maintains a conservative balance sheet with a focus on an effective, strong audit process. Growth is driven by acquisitions, free drilling, and the creation of royalties and lease outs. Nemaska Lithium Provides Progress Report on Mine Site and Phase 1 Plant

Nemaska Lithium Inc. ("Nemaska Lithium" or the "Corporation") (NMX.TO)(NMKEF) is pleased to provide an update on the advancement of its Phase 1 Plant as well as the construction and site preparation of the Whabouchi Mine, both located in Quebec, Canada.

Phase 1 Plant

The Phase 1 Plant is on schedule and on budget. To date, 20 technical operators have been hired and training is underway on the operations of the Phase 1 Plant. These highly skilled technicians have educational backgrounds in mechanical, chemical and electrical disciplines as well as a range of technical work experience including chemical plant start-up.

Once in operation, Nemaska Lithium expects to run the Phase 1 Plant on a 24 hour/7 day a week schedule starting in Q1 2017 at a production rate of 435 tons per year lithium carbonate equivalent (LCE). The first shipment of lithium hydroxide produced from Johnson Matthey Battery Materials (JMBM) lithium sulphate is expected Q1 2017. Commercial sized representative samples of lithium hydroxide produced from Whabouchi Mine concentrate are expected to ship to JMBM and other customers in Q2 2017 for qualification purposes.

Whabouchi Mine Site

Bulk Sample and Modular DMS Mill

Construction of the dense media separation (DMS) modular mill designed to produce a 6% Li2O DMS concentrate is on schedule. Equipment installation is being finalized and commissioning will follow. Twelve DMS plant operators have been hired and training is commencing in December. Blasting of the 60,000t mine representative bulk sample has commenced and will be processed through the modular mill. In addition, Nemaska Lithium intends to produce a 6% Li2O concentrate using flotation circuit with a contractor located in the province of Quebec. Both concentrates will be shipped to Shawinigan where Nemaska Lithium intends to process them into battery grade lithium hydroxide and lithium carbonate for customer evaluation and qualification.

Whabouchi Mine Infrastructure Construction

Construction of the main mine building continues and is scheduled to be fully enclosed in the near future allowing for on-going construction of the facility throughout the 2016-2017 winter.

As per our last Feasibility Study, we are projecting to be a low cost producer of lithium salts and we are on the cusp of demonstrating product quality and economics. I expect 2017 to be a year of meeting many milestones."

Feasibility Update and NI 43-101 Compliant Resource Estimate Update

Nemaska Lithium recently announced the results of its updated NI43-101 compliant resource estimate on the Whabouchi deposit (December 1, 2016 press release) which included the results from the recently completed drill campaign. This resource estimate saw the Measured and Indicated open pit resource increase to 36.620 Mt at an average grade of 1.48% Li2O. DRA Global/Met-Chem has been mandated to update the reserves of the Whabouchi mine in a new Feasibility Study due in January 2017.
