Noble meets expense requirements on Saskatchewan permits

2008-07-03 14:25 ET - News Release

Mr. J.J. McIntyre reports

Noble Metal Group Inc.'s Noble Hydrocarbons Alta Ltd. (NHA), for each of its oil shale exploration permits located near Tisdale, Sask., has received, from the Saskatchewan government, confirmation and approval that the work commitment expenditures required for all five years of the permits have been fulfilled. Prior to receiving approval of expenditures, all oil shale cores are required to be stored at the Saskatchewan Industry and Resources subsurface geological laboratory, located in Regina. NHA completed this requirement in May, 2008, on delivery of all cores from its nine-hole drill program to that facility. NHA holds three oil shale exploration permits in the Tisdale area covering 28,447 hectares (70,294 acres).

Samples of the cores from the nine-hole drill program were sent for laboratory testing and analysis to Baseline Laboratories in Texas, under the supervision and chain of custody of Wayne F. Downey Jr., professional geologist for GRH (Global Resource Holdings LLC). Mr. Downey left GRH's employ in late 2007. He has been retained by NHA to prepare a report relating to the Baseline Laboratories results on the tests he commissioned. NHA is awaiting a final copy of his report.

NHA also holds, in the Hudson Bay area of Saskatchewan, a further oil shale exploration permit covering parts of five townships, comprising 37,980 hectares (93,851 acres). Investors may be aware of the significant coal deposit discovery made by Goldsource Mines Inc. approximately 50 kilometres (30 miles) northeast of the community of Hudson Bay, Sask. The northeast corner of NHA's oil shale exploration permit area abuts the southwest corner of the coal permits recently granted by the Saskatchewan government to Goldsource Mines Inc., including the discovery deposit. NHA's exploration rights are exclusive in its permit area, and extend from the surface to the top of the pre-Cambrian geological layer. Should coal be encountered by NHA during the course of its exploration of the permit area, it has confirmed with the Saskatchewan Industry and Resources that it has the option of converting part of its oil shale exploration permit area to a coal lease.
We seek Safe Harbor.

Golden Sidewalk intersects high-grade gold

Skinner Results Encouraging

VANCOUVER, BRITISH COLUMBIA, Jul 7, 2008 (Marketwire via COMTEX News Network) --

Sabina Silver Corp. (TSX VENTURE:SBB) Announces results of the winter drilling program for its Golden Sidewalk and Skinner properties in the Red Lake district of Ontario.

The central ground package comprising the Golden Sidewalk and Skinner Properties covers 3,649 hectares of favorable geology including Balmer Assemblage volcanic rocks. Balmer Assemblage rocks are host to the large gold mines in the Red Lake area including the Red Lake Mine Complex (Goldcorp Inc.).

Drilling intercepts reported at both the Golden Sidewalk and Skinner properties are encouraging for Sabina Silver as the company looks to continue building upon its success in the Red Lake Mining District. Sabina Silver and its personnel are experienced explorers of the Red Lake area and were recipients of the Bernie Schnieders Discovery of the year award in 2005 for the Bonanza-Follansbee deposit now operated by Goldcorp Inc.

GOLDEN SIDEWALK

Drilling at Sabina's 100% owned Golden Sidewalk Property, within the Red Lake Mining Division, has successfully intersected gold mineralization in the primary target "Bathurst Mine Horizon" and also discovered a second horizon with high-grade gold mineralization, including 45.96 g/t Au (1.34 opt) over 1.70 meters. Recent diamond drilling of the "Bathurst Mine Horizon" and the new "Upper Bathurst Mine Horizon" confirms the presence of multiple gold bearing structures with further potential along strike and at depth.

The Golden Sidewalk Property, hosting the past-producing Bathurst Mine, is located within the Birch-Uchi greenstone belt approximately 70 km (44 miles) east of Red Lake. The land held by Sabina Silver covers over a highly prospective geologic setting similar to that of the producing Red Lake Mine Complex (Goldcorp Inc.). Highlights from initial drilling, 7863 meters in 23 holes, of the target horizons are presented in Table 1.

SKINNER PROPERTY

Drilling on Sabina Silver's 100% owned Skinner Property, immediately south of the Golden Sidewalk property, intersected a gold mineralized structure along the edge of an ultramafic unit. The newly discovered ultramafic unit is located under an arm of Narrow Lake. At present, only two holes have tested the mineralized structure, both returning anomalous gold values, including 1.28 g/t over 0.30 meters. These holes were successful in delineating an east-west trending unit (the "Blind Zone") with gold mineralization occurring where it is in contact with a gabbro sill. Sabina personnel are excited over the newly discovered "Blind Zone" mineralization. Follow-up recommendations are currently being prepared.

Intercepts and assay values from the diamond drill holes are outlined in Table 2.

CAD erhalten.

Canasia Industries Corporation: Final VTEM Data Now Being Evaluated
VANCOUVER, BRITISH COLUMBIA--(Marketwire - July 8, 2008) - Canasia Industries Corporation (TSX VENTURE:CAJ)(OTCBB:CANSF)(FRANKFURT:45C) ("Canasia") wishes to announce that it has been notified that the final VTEM data has now been received. The data has been submitted to Condor Consulting Inc for final evaluation to establish potential drill targets at Canasia's Reed Lake Prospect in Manitoba. This prospect directly borders VMS Ventures Inc.'s ("VMS") property that encountered 33.46 metres of 10.36% Copper at Reed Lake (announced July 3, 2008).

Graeme Sewell, a director of Canasia stated, "This is great timing to receive the final data that may establish potential drill targets on this exciting prospect. VMS's recent copper intercept is their best to date and is the furthest west drill to date on their property. Our property is directly west of this copper intercept. When you combine this exciting prospect with our coal, potash and gold prospects, clearly Canasia has exposure to areas of the market that are in demand."

Inmet offers $345 million for Petaquilla Copper

Vancouver - In a bid to expedite development of one of the largest copper deposits in the world Inmet Mining (IMN-T) has made a $345 million takeover bid for joint-venture partner Petaquilla Copper (PTC-T).

Petaquilla Copper owns 52% of Minera Petaquilla, the Panamanian company formed to develop the large porphyry copper project. Inmet holds the remaining 48% interest.

Its majority interest in the Petaquilla project is Petaquilla Copper's only significant asset. It is a massive deposit that has been through many hands and several feasibility studies since its discovery in 1968. A 2007 updated feasibility study pegged total reserves at 1.1 billion tonnes grading 0.5% copper with minor molybdenum and gold.

Inmet now wants Petaquilla Copper out of the picture and it willing to pay handsomely for it. The Toronto-based major is making an all-cash offer for the Vancouver-based company, offering $2 per share. The $345-million offer represents a 108% premium to Petaquilla Copper's closing price on July 4th and an 85% premium over the 20-day volume-weighted average price to that date.

Inmet managed to secure lock-up agreements with certain institutional shareholders representing 15.1 million shares or 9.4% of Petaquilla Copper's issued and outstanding shares. To succeed the takeover requires support from more than 50% of Petaquilla Copper's shareholders.

Petaquilla Copper did not reply publicly to the offer on the day it was announced but its share price certainly responded. PTC shares gained 98¢ or 102% to close at $1.94 on a record trading volume of 16.6 million shares.

Inmet's move on Petaquilla Copper comes not long after the majority owner started arbitration against the other player in the project, Teck Cominco (TCK.B-T, TCK-N). Teck had been earning in a 26% interest in the project from Petaquilla Copper by funding 52% of the costs to bring the project to commercial production; it would then have the right to receive 52% of the project cash flow until it recoups its entire investment.

In March, just before Teck had to make its yay-or-nay decision on continuing with the joint venture, the two majors announced an interim agreement whereby Inmet would lead the project and finance expenditures until the earlier of September 2009 or Imnet spending $50 million at Petaquilla. At the end of the interim period Teck can either elect to continue participating and resume funding or sell its interest to Inmet.

Petaquilla Copper initially voiced support for the interim agreement. However, within a few weeks the company delivered a notice of request to arbitrate, alleging that Teck had "failed to satisfy the preconditions" for making the final commitment to proceed with development. Petaquilla Copper also declared that Teck's interest in the property "has now been terminated."

Inmet disagrees with the claim that Teck failed to fulfill obligations and was "extremely disappointed" with the arbitration, particularly in view of the un-avoidable delays such an argument will mean for the project.

Now it seems Inmet just wants Petaquilla Copper out of the picture completely. In a conference call about the takeover bid Inmet's president and COO Jochen Tilk said the main motivation for moving on Petaquilla Copper now is a desire to rapidly advance project development.

"We believe that Petaquilla Copper's business strategy is not aligned with development of a large project," Tilk said. "This transaction will provide a very clear path forward. It would also certainly resolve other uncertainties, such as the arbitration proceedings currently ongoing between Petaquilla Copper and Teck, which create further uncertainty and potential delay for the project."

Tilk also outlined what Inmet sees as the benefits of the takeover for Petaquilla Copper shareholders, including full value, immediate liquidity for shares that normally move slowly at best, and the removal of the financial risk or share dilution that would be necessary to Petaquilla Copper to fund it portion of development.

To put it into perspective, developing the Petaquilla project is not going to be cheap. In mid-2007 capital costs were estimated at US$1.7 billion; by early 2008, when Inmet and Teck released an interim report on the Petaquilla Front Engineering and Design study, capital costs had soared to US$3.5 billion, with a US$515 million contingency. Operating costs came in at US$1.06 per lb copper for the first ten years of the 23-year mine life.

The other option for Petaquilla Copper to avoid share dilution or financial risk in development would be to elect to have its interest carried. In that case the company would not have to spend a dime on development but would also not see a dime until the project's financiers have recouped their costs in full.

Using a copper price of $2 per lb. and the joint venture agreement terms for carrying, which are U.S. prime interest rate plus two, Petaquilla Copper does not see any cash flow from the operation until 2026, which is when the mine starts to produce pre-tax cash flow with development based on the current feasibility studies. Inmet argues that is a long time for shareholder to wait for payout; the buy-out offer, on the other hand, would give shareholders cash-in-hand now.

Inmet is clearly keen to remove a player from the project. A major focus in management's presentation of the takeover bid was the advantages the project can glean from a streamlined shareholder structure. Inmet is also already working to optimize development plans; for example, discussions are ongoing to arrange coal-fired power instead of relying on diesel-backed power as assumed in the feasibility study.

Petaquilla Copper Ltd. Enters Memorandum of Understanding With Isagen

VANCOUVER, BRITISH COLUMBIA--(Marketwire - July 7, 2008) - Petaquilla Copper Ltd. ("Petaquilla") (TSX:PTC) today announced it has entered into a Memorandum of Understanding ("MOU") with Isagen S.A E.S.P. ("Isagen") for the study of a power project on the Petaquilla mining concession in central Panama. Isagen is a Colombian mixed public utility corporation affiliated with the Ministry of Mining and Energy of Colombia. It is currently the third largest Colombian power company and its main corporate objectives are electric energy generation and commercialization, commercialization of natural gas by networks, and commercialization of coal, steam, and other energetics for industrial use.

The MOU defines the terms under which the partners, Petaquilla and Isagen, will advance feasibility studies covering all aspects of the development, structural design, construction, operation and maintenance of a power production facility intended to cover the energy needs of the mining projects on the Petaquilla concession and the commercial sale of excess power into the Panamanian and Central American grids.

In addition, all fuel sources will be evaluated and the necessary technical, environmental, commercial, financial and legal studies completed along with analyses of transportation of fuel and connectivity issues. Based on the technical, environmental and legal feasibility of establishing a power production plant, both parties will decide together how the project shall proceed.

Following the initial feasibility study, the parties agreed to form a new joint venture company owned 51% by Isagen and 49% by Petaquilla, for the construction and operation of the power plant.

The Petaquilla concession includes a gold mining operation owned 100% by Petaquilla Minerals Ltd. (TSX:PTQ) with an estimated 2200 tonnes per day mill scheduled to begin production by year end and a future copper mine with an estimated 120,000 tonnes per day throughput. The copper mine is a joint venture between Petaquilla Copper Ltd., Inmet Mining Corporation and Teck Cominco Limited and the copper project is nearing completion of a bankable feasibility study. The previous bankable feasibility study completed in 1998, and, hence, non-National Instrument 43-101 compliant, by H. A. Simons Ltd. (later acquired by AMEC Americas Limited), outlined a massive porphyry deposit hosting 1.115 billion tonnes grading 0.50% copper, 0.09 g/t gold, 0.155% molybdenum as well as recoverable silver. The resources occur in three project areas: Botija, Petaquilla, and Valle Grande with minimum recoverable payable metal content contained in these reserves of 9.4 billion pounds of copper, 1.37 million ounces of gold, 24.1 million ounces of silver, and 131.1 million pounds of molybdenum, not including the contained metal in the low grade stockpile.

Forward looking information
