Toronto, Ontario--(Newsfile Corp. - October 18, 2022) - IAMGOLD Corporation (TSX: IMG) (NYSE: IAG) ("IAMGOLD" or the "Company") is pleased to announce that it has entered into a definitive agreement (the "Agreement") with Zijin Mining Group Co. Ltd. (SH:601899, SEHK:2899) ("Zijin") to sell its 95% interest in Rosebel Gold Mines N.V. ("Rosebel") for cash consideration of $360 million and release of IAMGOLD's equipment lease liabilities amounting to approximately $41 million (the "Transaction"). Rosebel holds a 100% interest in the Rosebel Gold Mine and a 70% participating interest in the Saramacca Mine, located in Suriname. The remaining 5% interest in Rosebel will continue to be held by the Government of Suriname.

Under the terms of the Agreement, IAMGOLD will receive cash consideration of $360 million for its 95% interest in Rosebel, subject to certain working capital adjustments on closing. In addition, IAMGOLD's obligations for certain equipment leases of Rosebel amounting to approximately $41 million will be released on Closing. The existing royalty on Rosebel held by Euro Ressources S.A. will remain an obligation of IAMGOLD.

Maryse Bélanger, Chair of the Board and Interim President and CEO, commented: "This transaction represents a significant step forward in pursuing IAMGOLD's strategy of disciplined portfolio management as we look to create value for shareholders through a focus on core assets. The Transaction has the support of IAMGOLD's syndicate of lenders who have consented to the release of their security over Rosebel upon completion of the Transaction, and to the use by IAMGOLD of the full net sale proceeds towards the construction of the Côté Gold project.

The Transaction

is subject to certain regulatory approvals including the receipt of approvals from the relevant authorities in the People's Republic of China, approval for transfer of licenses from the Government of Suriname, as well as other customary closing conditions.

The Transaction is expected to close early in the first quarter of 2023 or earlier, subject to closing conditions being met.

Galway Resources Ltd. announces premium cash offer for Galway shareholders and the spin out of the Vetas and Victorio projects

TORONTO, Oct. 19, 2012 /CNW/ - Galway Resources Ltd. (GWY: TSX-V) ("Galway") is pleased to announce the execution of an arrangement agreement (the "Arrangement Agreement") with AUX Acquisition 2 S.àr.l. and its wholly-owned Ontario subsidiary (collectively, "AUX"), under which AUX has agreed to acquire all of the outstanding common shares of Galway (other than common shares of Galway held by AUX and its affiliates) (the "Galway Shares") by way of a plan of arrangement (the "Arrangement").

Under the transaction Galway shareholders will receive Cdn$2.05 in cash, 0.9 of a share in a new company to hold the Vetas gold project and 1.0 share in a new company to hold the Victorio tungsten-molybdenum project. The new companies will be well capitalized with US$18 million of cash and US$12 million of cash, respectively. Upon closing of the transaction, existing Galway shareholders will hold 90% of the Vetas SpinCo and 100% of the Victorio SpinCo. AUX will have the right to nominate one director for election to the board of directors of the Vetas SpinCo.

The Cdn$2.05 per share cash consideration represents a premium of approximately 47% over the volume weighted average trading price of Cdn$1.39 per Galway Share on the TSX Venture Exchange ("TSX-V") for the 20-trading days ending on October 18, 2012. It is anticipated that the Arrangement will close on or before December 31, 2012.

In addition, AUX has entered into lock-up agreements with certain officers and directors of Galway, pursuant to which these shareholders have agreed, subject to certain conditions, to exercise the voting rights attached to their Galway Shares in favour of the Arrangement.

The board of directors of Galway (the "Board"), based in part on a fairness opinion from National Bank Financial Inc. that the consideration offered in the Arrangement is fair, from a financial point of view, to Galway shareholders, other than AUX, has unanimously determined that the completion of the Arrangement is in the best interests of Galway shareholders. The Board has unanimously resolved to recommend that Galway's shareholders vote in favour of the Arrangement.

A summary of the opinion given by National Bank Financial Inc., the factors that were considered by the Board in approving the Arrangement, and other material background information relating to the Arrangement, will be included in the Management Information Circular to be mailed to Galway's securityholders in connection with a special meeting of Galway, which is expected to be held in early to mid December, 2012 (the "Meeting") to approve the Arrangement.

Completion of the Arrangement is subject to, among other things, i) the affirmative vote at the Meeting of at least two-thirds (66 2/3%) of the votes cast by all Galway shareholders ii) approval of the Superior Court of Justice of Ontario; and iii) receipt of all required regulatory approvals, including acceptance of the transaction by the TSX-V.

A copy of the Arrangement Agreement will be filed with Canadian securities regulatory authorities and will be available under Galway's profile on the SEDAR website, at www.sedar.com. It is currently expected that the Management Information Circular to be prepared in connection with the Meeting will be mailed to Galway's securityholders in early November, 2012, and those materials will also be available at www.sedar.com.

mit blick auf den kursverlauf zeigt sich, dass die unterstützung um 97$ (mehrfach getestet) die käufer auf den plan rief. der letzte kurs dotierte heute bei 111$ und klopft damit an den sma50. die obere abwärtstrendlinie steht den bullen noch um 113$ im weg und bei 115$ liegt zudem ein charttechnischer widerstand im weg.
nachhaltige kurse darüber eröffnen aber den weg zum nächsten resist um 125$ und letztlich dem ath um 147$.

ich möchte hier auf die sich anbahnende, interessante chart-situation hinweisen. der angezeigte chart bezieht sich noch auf den nov-22-future, der liquidere dec-22-future notiert rund 0.20 $ niedriger!!!
richtung norden liegt im bereich 2.7500$/2.8000$ ein getesteter und somit recht fester widerstandsbereich vor den bären-nasen. dort sollte sich auch wieder der vorherrschaftskampf zwischen bullen und bären austragen. je nach definition und zeiteinheit ist der abwärtstrend, seit dem doppel-top im juni 2022, gebrochen worden. nach einer seitwärts-schiebezone im september hellt sich die chart-lage wieder ein wenig auf. oberhalb von 2.8000$ dürften sich somit wieder vermehrt die bullen auf dem "parkett" blicken lassen. unterhalb der september-tiefs jubilieren weiterhin die bären.

1. Rückblick

Mit dem frühen Scheitern der Sommerrally bei 1.807 USD hatte sich das Bild am Goldmarkt ab Mitte August schnell wieder eingetrübt. In der Folge drückten die Bären den Goldpreis zielstrebig und ohne Gegenwehr unter die wichtige Unterstützung bei 1.680 USD. Diese Marke hatte in den letzten zweieinhalb Jahren allen Angriffen der Bären standgehalten. In einem miserablen Gesamtumfeld konnten die Goldbullen diese Zone wie befürchtet nicht mehr verteidigen, so dass die Goldnotierungen schließlich mit 1.615 USD Ende September auf den tiefsten Stand seit dem April 2020 fielen. Vom Hoch im März bei 2.070 USD hat der Goldpreis damit in knapp sieben Monaten rund 455 USD bzw. knapp 22% verloren.

PureGold Provides Financial and Operations Update

VANCOUVER, B.C. - Pure Gold Mining Inc. (TSX-V:PGM, LSE:PUR) ("PureGold" or the "Company"), announces a financial update regarding its cash balance, working capital and discussions with its lender. The Company also provides an operations update regarding its PureGold Mine in Ontario.

The Company's current cash balance is approximately $2 million and net working capital deficit is approximately $13 million[1]. PureGold has previously noted that it expected at least some additional funding in 2022 to come from the exercise of warrants (the "Warrants") issued in conjunction with its May 2022 financing. The Warrants are currently priced to be exercised at $0.18 per share and, given current market conditions, the Company no longer expects to receive any proceeds from warrant exercises prior to their expiry on November 25-27, 2022. To date, none of the Warrants have been exercised, and the Company has, so far, been unable to obtain alternative outside financing in order to continue operations, complete its ongoing Pre-Feasibility Study ("PFS") and Life-of-Mine plan, and continue its ongoing strategic review process.

The Company is suspending operations and placing the PureGold Mine on care and maintenance immediately. This step follows an evaluation of several potential alternative scenarios and has become necessary because the mine has not yet achieved consistent positive site-level cash flow, notwithstanding recent reductions in operating costs and sequential quarter over quarter increases in production. The suspension of operations has resulted in the Company withdrawing its guidance for Q4 2022.

If additional outside financing is not obtained in the short term, PureGold will not be able to meet its obligations as they become due, resulting in a default under its debt obligations. The Company continues to work collaboratively with its lender, a fund managed by Sprott Resource Lending Corp. ("Sprott"), to evaluate several near-term funding and strategic alternatives. This process will include evaluation of all available options, including possible sale or restructuring scenarios, in order to preserve asset value for the benefit of all stakeholders.
